This role is for one of Weekday's clients Min Experience: 2 years Location: Delhi, Mumbai, Bengaluru JobType: full-time About the Role: We are seeking a highly motivated and skilled Legal Associate to join the General Corporate practice of a prestigious Tier 1 law firm . The ideal candidate will have a strong background in Mergers & Acquisitions (M&A) , Joint Ventures (JVs) , Due Diligence , and a range of transactional work . This role offers an opportunity to work with top-tier domestic and international clients on complex, high-value deals across sectors. As a Legal Associate, you will be deeply involved in drafting, negotiating, and advising on various corporate and commercial transactions. You will also play an integral role in the due diligence process and support the execution of strategic deals, helping clients navigate legal complexities and mitigate risks. Key Responsibilities: Transaction Management: Assist in the end-to-end execution of M&A, private equity, and joint venture transactions. Draft and review transaction documents, including share purchase agreements, shareholders agreements, term sheets, and other related documentation. Work closely with senior partners and clients on deal structuring and regulatory compliance. Due Diligence: Conduct comprehensive legal due diligence on target entities for M&A and investment transactions. Analyze corporate records, material contracts, regulatory filings, and litigation to identify legal risks and mitigation strategies. Prepare detailed due diligence reports and summaries for client presentations and internal decision-making. Client Advisory: Provide sound legal advice on corporate governance, foreign direct investment (FDI), regulatory approvals, and sector-specific compliance. Liaise with clients and counterparties to facilitate seamless communication and resolution of legal issues during the course of a transaction. Collaboration & Teamwork: Collaborate with cross-functional teams within the firm, including tax, competition, and litigation teams, for comprehensive client solutions. Support knowledge management initiatives and contribute to internal legal updates and research efforts. Key Skills and Competencies: Solid knowledge and experience in M&A transactions, corporate restructuring, joint ventures , and strategic investments . Strong legal drafting and negotiation skills with a keen eye for detail. Ability to interpret and apply legal frameworks in commercial contexts. Excellent research, analytical, and communication skills. Comfortable working in a high-pressure environment with tight deadlines. Qualifications: LL.B. or equivalent from a reputed law school. 2+ years of relevant post-qualification experience in a law firm or in-house legal team, preferably in the corporate/M&A practice. Prior experience working in a Tier 1 law firm or on large-scale transactions will be an advantage.
