Job Description

Position Deputy Company Secretary

Job Description:

  1. Preparation of Notice, Agenda, and Resolutions for all meetings of the Board, Committees, and Shareholders / Members, and preparation of Minutes for all the meetings within the timeline prescribed under secretarial standards.
  2. Ensure to collect the details/information/response from the internal departments for Annual Report and Action Taken Report points from the meetings.
  3. Timely compliance of all Secretarial Activities, i.e. Pre and Post Events and understanding of various and critical provisions of the Companies Act, 2013, and the Rules.
  4. Ensure that secretarial audit is conducted as per prescribed timelines and compliance of the Organization with all applicable law.
  5. Relationship building with all stakeholders including internal departments and coordinating and closely monitoring with the Consultants, Practicing Company Secretary for MCA/ROC compliance-related activities.
  6. Timely preparation and filing of forms before MCA, stock exchange and other regulatory and proper maintenance and updating of statutory registers, returns, forms etc, and filing forms and other documents in a methodical way for easy retrieval.
  7. Responsibilities related to subsidiary and associated companies.

Legal profile:

  1. Drafting of Agreements, MOUs, NDAs, Contracts, Notices, and other commercial documents, HR-related matters, and finalizing the same in coordination with internal teams and HODs.
  2. Ensuring proper liaison with the external consultants, lawyers, law firms, for handling ongoing legal matters, legal cases, legal notices and preparation of briefing notes, handling briefing sessions with the external consultants, lawyers etc and procuring legal advice for the task/ matter assigned for.
  3. Advising and supporting on transactions, claims liability, filing of cases, prosecuting or defending lawsuits, legal rights, and obligations.
  4. Identifying and managing legal risks in contracts, agreements, and service operations, etc.
  5. Preparing and collating details for the timely renewal of D&O Policy and the Professional Indemnity Policy.
  6. Laws relating to Maritime, Shipping, and IPR would be an added advantage.

A career path for a meritorious candidate would lead to the post of Company Secretary in due course of time.

Qualification: ACS & LLB (Preferred)
