Job Description

As a Company Secretary, your role involves handling the incorporation of Public/ Private Companies & LLPs including drafting MOA & AOA and making necessary alterations. You will be responsible for ROC Annual filings for both Public/Private Companies & LLPs. Your duties will also include managing DIN & DSC Applications and converting financial statements into XBRL format. Additionally, you will be in charge of tasks such as Capital Structuring, Name Change, Change of Registered Office, Conversion from public to private limited and vice versa, as well as appointments, re-appointments, and resignations of Directors, KMPs, and Statutory Auditors. Key Responsibilities: - Drafting and filing charge creation/modification/satisfaction documents - Handling proceedings related to Allotment, Transfer, Split, and Consolidation of shares - Submitting applications, affidavits, and resolutions to the Regional Director for necessary approvals - Conducting and managing Board Meetings effectively - Drafting scheme of arrangement for mergers, amalgamations, or de-mergers under section 230 to 233 and filing respective forms Qualifications Required: - Qualified Company Secretary with relevant experience in handling the mentioned responsibilities - Sound knowledge of Company Law and related regulations - Strong communication and organizational skills - Ability to work efficiently under pressure and meet deadlines (Note: No additional details about the company were provided in the job description),
