KEY DELIVERABLES This job opening is for a listed company (Jagsonpal Finance & Leasing Limited) with the same promoter as Nivi Capital. We are seeking a seasoned and highly skilled Chief Financial Officer (CFO) with 15-20 years of experience to lead the financial operations at our company. The ideal candidate will have a proven track record of managing financial strategy, risk management, regulatory compliance, and capital management for organizations, with specific expertise in the financial services sector. Role and Responsibilities: Key responsibilities will include: Strategic Financial Leadership: Provide strategic leadership in financial planning, forecasting, and budgeting. Develop long-term financial strategies aligned with corporate goals and ensure the company's financial strength. Partner with the CEO, Board of Directors, and executive leadership on financial and business strategies. Financial Management & Reporting: Oversee the preparation and analysis of financial reports, including income statements, balance sheets, and cash flow statements. Ensure compliance with financial reporting requirements, such as IFRS and applicable accounting standards. Provide timely, accurate, and insightful financial data and reports to the board, investors, and regulators. Capital Structure & Fundraising: Manage capital structure decisions, including debt and equity financing. Lead fundraising efforts, working closely with investors, financial institutions, and regulatory bodies. Oversee the management of working capital, liquidity, and cash flow to support the company's growth and operational needs. Regulatory Compliance & Risk Management: Ensure compliance with RBI guidelines, SEBI regulations, and all statutory financial requirements. Develop and implement financial risk management strategies, including credit, liquidity, market, and operational risks. Liaise with regulators, auditors, and government authorities to maintain compliance with regulatory frameworks. Investor Relations: Act as the primary contact for investors and analysts, ensuring transparent communication on the company's financial performance and growth prospects. Lead quarterly earnings calls, investor presentations, and annual general meetings. Financial Control & Audit: Develop and maintain internal financial controls, processes, and policies to safeguard company assets. Oversee internal and external audits, ensuring adherence to statutory regulations and best practices. Ensure timely closure of accounts and financial audits, ensuring accurate and compliant filings with stock exchanges and regulators. Mergers & Acquisitions: Lead the financial evaluation of mergers, acquisitions, joint ventures, and other business development activities. Collaborate with legal and operations teams to conduct due diligence and negotiate financial terms. Team Leadership & Development: Build, mentor, and lead a high-performing finance team, including accounting, treasury, and tax professionals. Foster a culture of continuous improvement and high ethical standards within the finance department. Qualifications and Skills: Education: Chartered Accountant (CA). Experience: 15-20 years of experience in finance leadership roles, with at least 5 years in a CFO or equivalent capacity or worked closely with a CFO, handling most of the key process in an NBFC/Financial Services/Banking is mandatory. Experience with listed companies is essential. Regulatory Knowledge: Deep understanding of RBI regulations, SEBI guidelines, tax laws, and statutory compliance for NBFC/Financial Services/Banking. Financial Acumen : Strong expertise in financial planning, analysis, capital markets, fundraising, and regulatory reporting. Leadership : Proven ability to lead and manage large finance teams with excellent interpersonal and communication skills. Investor Relations : Experience in handling investors and analysts, with a demonstrated ability to build strong relationships with stakeholders. Role & responsibilities M&A Strategy & Execution: Evaluate and execute potential M&A and divestiture opportunities, including deal sourcing, industry analysis, and strategic fit assessment. 2. Stakeholder Engagement : Collaborate with investment bankers, consultants, and advisors to assess opportunities and structure deals. 3. Due Diligence & Financial Analysis : Oversee and coordinate due diligence activities, review financial statements, and build valuation and financial models. 4. Transaction Management : Manage the entire deal lifecycle from initiation to financial planning, scoping, legal and regulatory coordination, to deal closure. 5. Integration : Define and monitor post-merger integration plans to ensure alignment with business objectives. 6. Capital Raising & Investor Relations : Support capital-raising discussions and investor communication activities including reports and presentations. 7. Strategic Research & Risk Assessment : Conduct market research, competitor benchmarking, and risk assessments to aid strategic decision-making. 8. Ad-hoc Strategic Projects : Support senior leadership on high-impact strategic projects across geographies and verticals. Preferred candidate profile 1. CA/MBA is preferred. 2. Minimum 2+ years of experience in a similar role in corporate strategy, investment banking, or corporate M&A. 3. Proven ability to lead multi-country M&A deals and engage with external advisors. 4. Experience in fast-paced, dynamic, and cross-functional business environments. 5. Strong exposure to financial modelling, valuation, and transaction execution.
