As a Corporate Secretary, your role involves the incorporation of Public/ Private Companies & Limited Liability Partnerships (LLPs), including drafting and alterations of Memorandum of Association (MOA) and Articles of Association (AOA). You will be responsible for ROC annual filings of Public/Private Companies & LLPs, as well as handling applications for Director Identification Number (DIN) and Digital Signature Certificate (DSC). Your tasks will also include the conversion of financial statements into XBRL format, capital structuring, name changes, and other corporate actions such as change of Registered Office, conversion from public to private limited, and vice versa. Key Responsibilities: - Drafting and alterations of MOA & AOA - ROC annual filings for Public/Private Companies & LLPs - Handling DIN & DSC Applications - Conversion of financial statements into XBRL format - Capital structuring and corporate actions - Charge creation, modification, and satisfaction - Managing proceedings related to share allotment, transfer, split, and consolidation - Filing applications, affidavits, and resolutions to the Regional Director for approvals - Conducting Board Meetings - Drafting schemes of arrangement for mergers, amalgamations, and de-mergers under sections 230 to 233 Qualifications Required: - Degree in Company Secretaryship or related field - Membership with the Institute of Company Secretaries of India (ICSI) - Knowledge of Companies Act and related regulations - Strong communication and organizational skills - Ability to handle multiple tasks and deadlines effectively - Experience in handling corporate secretarial duties is preferred If there are any additional details about the company in the job description, please provide them for a more comprehensive understanding.,
