Chief Financial Officer

Role Summary:

driving financial strategy, governance, capital planning, and IPO readiness

Key Responsibilities:

Financial Strategy & Planning

• Lead

  financial strategy, budgeting, forecasting, and cash flow management

• Establish and monitor

  KPIs for financial performance

  , working capital, and capital expenditure
• Build robust

  cost control, margin optimization, and risk mitigation frameworks

IPO Preparation & Execution

• Lead the

  IPO readiness journey

  : financial restructuring, internal audits, corporate governance
• Liaise with

  merchant bankers, legal counsel, auditors, and SEBI

  throughout IPO lifecycle
• Oversee preparation of

  Draft Red Herring Prospectus (DRHP)

  , offer documents, and disclosures
• Build robust

  internal controls, financial reporting, and regulatory compliance systems

• Lead

  valuation planning, investor roadshows, and stock exchange filings

Corporate Finance & Fundraising

• Lead

  equity and debt fund-raising

  initiatives to support project and working capital requirements
• Evaluate financial feasibility of

  solar EPC and infra projects

• Manage

  banking relationships, working capital lines, and non-recourse project finance

Governance, Risk & Compliance.

• Ensure

  statutory and regulatory compliance

  under Companies Act, Income Tax, GST, and IND-AS.
• Implement robust

  internal control systems, SOPs, and ERP integration

• Coordinate with internal and external auditors for periodic financial and risk audits.

Team Leadership

• Build and lead a high-performing team across

  accounts, MIS, taxation, treasury, and audit

• Drive continuous upskilling, digital adoption, and alignment with business goals

Stakeholder Engagement

• Collaborate with Board, promoters, and other CXOs to drive financial sustainability
• Manage relationships with

  investors, lenders, SEBI, stock exchanges

  , and other key stakeholders
• Support strategic decisions like

  M&A, joint ventures, and new business models (e.g., REIT, INVIT)

Key Skills & Qualifications:

• Chartered Accountant (CA)

  or

  MBA (Finance)

  from a reputed institute
• 15+ years of progressive financial leadership, with at least

  3+ years as CFO or equivalent

• Experience in

  IPO planning and execution

  in a mid/large-size company (preferably infrastructure or renewable sector)
• Deep in the knowledge of

  SEBI regulations, IND-AS, Companies Act, and Taxation laws

• Strong exposure to

  project finance, EPC contracting, renewable energy, or infrastructure projects

Preferred Attributes:

• Experience with

  public listing of SME or Main Board IPO.

• Familiarity with

  solar EPC, BOOT models, power purchase agreements, and SPV structuring.

• Hands-on with

  financial modeling, investor presentations, and virtual data room (VDR) handling.
