About Position:
We are looking for candidates who have experience in Mergers and Acquisitions (with related skills in general corporate law) and Commercial Transaction Attorney: End-to-end merger and acquisition experience, including Drafting and negotiating letters of intent, acquisition agreements (stock purchase agreements, merger, asset purchase agreement and slump sale), and related ancillary documents (employment agreements, earn out agreements, transition services agreements).

What You'll Do:
- Mergers and Acquisitions (with related skills in general corporate law) and Commercial Transaction Attorney: End-to-end merger and acquisition experience, including Drafting and negotiating letters of intent, acquisition agreements (stock purchase agreements, merger, asset purchase agreement and slump sale), and related ancillary documents (employment agreements, earn out agreements, transition services agreements).
- Managing, conducting, and integrating a due diligence report for an acquisition; coordinating with various diligence teams, obtaining their input, integrating that input into the acquisition agreements, and assessing the information against the disclosure schedules.
- Coordinating the transaction for signing and closing, while working on the transaction documents; Being the transaction coordinator or transaction engineer for an entire M&A transaction.
- General corporate experience, including drafting of board minutes and consents for approvals of transactions and for understanding the corporate due diligence.
- Understanding of capitalization tables, stock, debt, options; Understanding of U.S. and European employment laws; and assist in post-acquisition integration activities.
- Expertise in U.S. acquisitions is added advantage. Experience in acquisitions in other jurisdictions preferred.
- The ability to work with a large team and coordinate input from various departments (Finance, operations, HR, IT) and outside counsel when required.
- Ability to work closely with corporate development Team to ensure that the value elements of the deal are properly reflected, and that post-closing integration is considered in structuring the transaction are essential skills. Be prepared for extremely busy periods when a transaction is in process.
- Coordinate with team so there is always coverage when a deal is in process. Ability to work with our corporate secretarial group to monitor and coordinate corporate compliance: annual state and country filings; minute book maintenance.
- Commercial Transaction Experience in Commercial service contracts - master services agreement and statements of work; consulting and independent contractor agreements; employment agreements; software license agreements; and software reseller agreements. Structuring, drafting, vetting, negotiation, and closing of these agreements.
- Extensive exposure to contracting and negotiating in the US and India required, and Asia, Europe, Middle East, African Continent preferred.
- Making sure contracts when negotiated comply with internal policies and standards. Can assess commercial disputes and claims and summarize for general counsel and business decision-makers.
- Experience in managing litigation and interacting with insurance carriers, outside counsel, and opposing counsel preferred.
- Support internal functions including HR, Admin, Finance, Visa Cell etc. in their day-to-day legal matters. Conduct training seminars for employees.

- Bachelors degree in law or equivalent experience.

- Cooperative and solution oriented. Ability to work under pressure and meet schedules is a must.
