Job Summary

We are looking for a skilled Corporate Lawyer with a deep understanding of venture capital transactions and startup structuring. The ideal candidate will have experience in drafting and negotiating key legal documents, conducting due diligence, and independently managing transaction closures.

Key Responsibilities

Structuring and executing early-stage investment transactions.

Drafting and negotiating:

Term Sheets

Shareholders' Agreements (SHA)

Share Subscription Agreements (SSA)

Share Purchase Agreements (SPA)

Co-Founder Agreements

ESOP Policies and Advisory Stock Agreements

Escrow Agreements

Conducting legal and compliance due diligence for startups.

Leading transaction closing processes end-to-end.

Advising clients on regulatory compliance and corporate governance matters.

Skills & Qualifications

*LL.B. or equivalent degree from a recognized institution.

Minimum 3 years of post-qualification experience in corporate law, preferably in venture capital or startup transactions.

Strong legal drafting, negotiation, and communication skills.

Experience working with early-stage companies, investors, or VC funds is highly preferred
