Head Legal

Role Purpose

The Head Legal will lead the legal function, ensuring robust legal frameworks, compliance,

and risk mitigation strategies to support the business units strategic initiatives. This role is

pivotal in managing legal complexities associated with business restructuring, mergers,

acquisitions, and large-scale infrastructure projects. The incumbent will provide expert

legal advisory services, oversee contract management, and ensure effective resolution of

disputes and litigations, aligning with Adanis mission of fostering sustainable growth and

value creation.

Key Responsibilities

• Lead and manage all legal aspects of business restructuring, mergers,

amalgamations, and acquisitions, ensuring compliance with applicable laws and

regulations.

• Oversee the drafting, negotiation, and finalization of major contracts, agreements,

and transactional documentation, particularly for commercial transactions and

O&M-related projects.

• Provide strategic legal advice to the CEO and senior leadership, ensuring alignment

with business objectives and risk management strategies.

• Supervise and guide the legal team in handling regulatory issues, litigations, and

arbitration cases before various judicial and quasi-judicial authorities.

• Develop and implement legal risk management frameworks to anticipate and

mitigate risks associated with the business strategy and operations.

• Ensure compliance of business operations with relevant laws, regulations, and

corporate governance standards.

• Manage legal expenses effectively while maintaining high-quality legal services.
• Liaise with external legal counsel, senior advocates, and regulatory authorities to

represent the company’s interests in legal matters.

• Conduct due diligence for mergers, acquisitions, and other strategic transactions,

ensuring thorough evaluation of legal risks and opportunities.

• Monitor and analyze changes in laws, regulations, and government policies that may

impact the business, providing timely updates to the leadership team.

Required Qualifications & Experience

• Bachelor’s degree in Law (LLB) from a recognized institution; a Master’s degree in

Law (LLM) is preferred.

• Minimum of 20 years of experience in legal advisory roles, with a focus on business

restructuring, mergers, acquisitions, and contract management.

• Proven track record of managing legal functions in large-scale infrastructure or

energy projects.

Educational Background

• Bachelor’s degree in Law (LLB) is mandatory.
• Master’s degree in Law (LLM) or equivalent specialization in corporate or

commercial law is preferred.

Years & Type of Experience

• 20+ years of experience in legal advisory, contract management, and regulatory

compliance.

• Extensive experience in handling legal matters related to infrastructure, energy, and

large-scale commercial transactions.

Domain Expertise

• In-depth knowledge of corporate and commercial law, with expertise in mergers,

acquisitions, and business restructuring.

• Familiarity with regulatory frameworks and compliance requirements in the

infrastructure and energy sectors.

• Experience in managing legal risks and resolving complex disputes and litigations.

Digital & Operational Tools

• Proficiency in legal research platforms and tools for case law analysis and

regulatory updates.

• Familiarity with contract management software and document review systems.
• Knowledge of digital tools for compliance monitoring and risk assessment.

Leadership Capabilities

• Demonstrated ability to lead and mentor a high-performing legal team.
• Strong stakeholder management skills, with the ability to influence and collaborate

with senior leadership.
