Job Description

A qualified company secretary who has had 2-3 years post-qualification (excluding internship) work experience in company secretarial matters (candidates with working experience in a CA/CS firm would be preferred).

Role & Responsibilities:

  • Prepare agenda and documents for board meetings, committee meetings, and annual general meetings (AGMs) and follow up on action points.
  • Conduct AGMs, & Board meetings through physical and video conference mode, take minutes, draft resolutions, agreements and file required forms and annual returns with appropriate departments.
  • Addressing clients queries related to companies Act and Fema regulations over the calls and emails.
  • Ensure Annual filings (including XBRL) of companies within the prescribed time.
  • Ensure policies, regulatory, or statutory changes and amendments that might affect the organizations are up to date and communicated to the concerned person.
  • Maintain statutory books, including registers of members, directors, and securities.
  • Ensure compliance under RBI/ FEMA regulations. should be abreast with latest Rules / Regulations under Companies Act.
  • All MCA and ROC filings both event based and periodical compliances - Filing of Form FC-GPR, FC-TRS including downstream reporting and FLA reporting and other requite reporting under FEMA.
  • Procuring DSC by coordinating with the client and vendor.
  • Maintaining all meeting and secretarial executed documents.
  • Incorporation of private limited companies subsidiary of foreign companies by coordinating with the client and managing end to end compliances independently.
  • Thorough knowledge in filing the DPT-3 and MSME forms as per the company transactions.

  • A flexible and practical approach to work.
  • Confidence to provide support to high-profile company staff and board members
