Compliance Officer

Position Description

• Function: Secretarial & Legal
• Reporting Manager: CFO
• Location: Thousand Lights Area, Chennai, India
  (Near Thousand Lights Metro Station)
• Workdays: Monday to Saturday

Overall Job Responsibilities

• Ensure compliances with respect to SAST, including disclosures as shareholders, promoters, directors
• Liaising with legal advisors/consultants and appropriately responding to summons and notices issued by Regulators
• Carrying out periodic reviews to ensure legal compliances as per RBI norms, Companies ACT for group companies
• Vetting regular business agreements to be executed by the organization
• Assisting the team in organising, preparing agenda for and recording minutes of board meetings and general meetings
• Leading M&A transactions from legal perspective like drafting or reviewing share purchase agreements, shareholders agreements, business purchase agreements, loan agreements, inter-corporate deposits agreements
• Conducting continuous review of compliances by portfolio companies and assisting them wherever required

Knowledge, Skills, and Abilities

• Education: Company Secretary (mandatory) , LLB (or any other law equivalent degree) preferred
• Experience:

5-7 Years of experience

Candidates having experience of RBI Compliances, M&A transactions, due diligence, SAST compliances.

• Knowledge & Skills:

Excellent communication skills and communicating viewpoints assertively

Ability to build and maintain positive relationships with colleagues
