Job Description

Role & responsibilities

Ensure compliance with Companies Act, SEBI regulations, and other statutory requirements.
Organize and manage Board meetings, Committee meetings, and AGMs, including drafting notices, agendas, and minutes.
Maintain statutory registers, records, and filings with ROC and other authorities.
Advise management on corporate governance, legal, and regulatory matters.
Develop and implement internal policies, procedures, and risk management frameworks.
Support finance and management teams in compliance related to share capital, dividends, audits, and disclosures.
Act as liaison between the Board, management, and statutory authorities, providing regular compliance updates.

Preferred candidate profile

Qualification: Qualified Company Secretary (CS) from ICSI, with additional degrees in Commerce/Law (B.Com, M.Com, LLB) preferred.
Experience: 1015 years of experience in corporate compliance, corporate governance, and statutory filings, preferably in manufacturing or FMCG sector.
Skills: Strong knowledge of Companies Act, SEBI regulations, ROC filings, corporate governance, and risk management.
Technical Tools: Proficiency in MS Office, corporate compliance software, and statutory reporting tools.
Attributes: Excellent communication, documentation, and stakeholder management skills; detail-oriented and proactive in ensuring regulatory compliance.
