Functions of Company Secretary: Identifying and Ensuring compliance of all Companies Act, SEBI, FEMA and such other statutes as may be applicable to the company from time to time. All matters relating to corporate governance as required under the Companies Act, SEBI or such other Acts as may be applicable to the company from time to time. Organizing, Scheduling, Preparing Agendas for and taking Minutes of Board Meetings, AGMs, EGMs. etc. Maintaining statutory books including registers of members, directors and secretaries as per the Companies Act or such other acts as may be applicable to company Ensuring compliance under EDLI, PF & ESIC and other related laws and statutes. Drafting/vetting of Contracts /agreements, Deeds, etc. to which to company is a party. Monitoring, reporting, documenting of Foreign Direct investments and other related issues Handling legal matters, cases relating to contracts, Labour laws, Companies Act, Civil and Arbitration matters to which the company is a party. Such other functions not specifically mentioned above but forming part of your functions as a company secretary. HR and Admin Functions: Identifying and ensuring compliance to legal and other statutory requirement. Industrial Relations, Liaising with Statutory bodies. HR Management- Recruitment, short-listing candidates and co-ordination of recruitment process. Employee Performance Management HR Policy and Strategy management Compensation Management & Payroll Training Administration Attendance and Leave Management, Office Management, Travel and accommodation management, Administration related Vendor management & Asset Management To maintain Employee personal records Attendance and allied functions Salary calculation and distribution Employee policy making / implementation Programs for employee retention ESI & PF entry and maintenance Facilities management, Security, Maintenance Transport
