Company Secretary (CS)

The ideal candidate will be responsible for ensuring the company complies with statutory and regulatory requirements and for implementing decisions made by the Board of Directors.
Key Responsibilities:Ensure compliance with corporate laws and regulations.Maintain and update statutory books, including registers of members, directors, and secretaries.Prepare and file necessary returns and forms with regulatory bodies (ROC, SEBI, etc.).Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).Take minutes, draft resolutions, and lodge required forms and annual returns.Advise the board and management on governance and statutory compliance matters.Ensure that the company meets its legal obligations under company law and other relevant legislation.Liaise with external regulators, lawyers, and auditors.Oversee policies, making sure they are kept up to date and referred to the appropriate committee for approval.Manage share transfers and maintain the shareholder register.Handle correspondence, collate information, and write reports, ensuring decisions made are communicated to relevant company stakeholders.
