Job Description

*Company Secretary* with *5+ years of post qualification work experience* required in a *listed manufacturing organisation* located at *Navi Mumbai (nearby Turbhe / Juinagar station)* JD: * *Ensure timely compliance with Companies Act, SEBI LODR, FEMA* , and other applicable corporate laws * Manage e-filings and submissions with MCA, ROC, SEBI, and stock exchanges (BSE / NSE), including disclosures, investor complaints, and regulatory reporting * Draft and maintain board and committee documentation including agendas, notices, minutes, and resolutions * *Organize Board and Committee meetings (Audit, NRC, CSR, etc.), and prepare director disclosures, declarations, and reports* * Maintain statutory registers and records, and support preparation of annual reports and governance documentation * *Guide directors on corporate governance best practices and ensure adherence to insider trading norms* * Oversee Structured Digital Database (SDD) and trading window closures, *ensuring compliance with SEBI LODR provisions* (Reg. 23 – RPT, Reg. 30 – material events, etc.) * Liaise with statutory, internal, cost, & secretarial auditors for audits and related reviews * *Oversee legal compliance and corporate governance* ; advise the Board on regulatory matters and prepare periodic compliance reports * *Coordinate investor relations & manage shareholder communications effectively* Salary up to *Rs 16 lakh per annum* (can be slightly increased depending upon the caliber) Kindly share CVs to * [email protected] * with the subject line *"CS - Turbhe / Juinagar"* mentioning your current, expected salary, notice period, and reason to quit your current organization in email Job Type: Full-time Pay: Up to ₹25,000.00 per month Schedule: Day shift Application Question(s): What is your current monthly salary?
