Job Responsibilities:Regulatory Compliance:Ensure compliance with the Companies Act, SEBI regulations, and other corporate laws.Handle filings, returns, and statutory records with MCA, ROC, and other regulatory bodies.Ensure compliance with Listing Agreements, Securities Law, and Corporate Governance norms.Board & Shareholder Meetings:Organize and conduct Board Meetings, Annual General Meetings (AGMs) .Draft board resolutions, minutes, and reports as per statutory requirements.Contract & Legal Drafting:Draft, review, and negotiate various contracts, agreements, and legal documents.Ensure all contracts comply with corporate and contract law.Audit & Risk Management:Assist in internal and external audits to ensure statutory compliance.Identify legal risks and suggest mitigation strategies.Corporate Governance:Implement and oversee corporate governance best practices.Advise management on legal and regulatory matters impacting the business.Liaison & Coordination:Act as a liaison between the company and regulatory authorities like SEBI, ROC, and stock exchanges.Coordinate with auditors, lawyers, and consultants for compliance and legal matters.Key Skills & Qualifications:Qualified Company Secretary (CS) with membership in ICSI.In-depth knowledge of Company Law, SEBI regulations, Contract Law, and Corporate Governance.Experience in contract drafting, legal documentation, and compliance audits.Strong communication and stakeholder management skills.Proficiency in MS Office and legal software tools.CV Email- hr.noida2@energiaa.inWorking Location: Noida Sector-63
