Key Responsibilities Corporate Structuring & Incorporation: Oversee the entire lifecycle of incorporating companies, LLPs, or other business entities, ensuring adherence to regulatory protocols from initiation to approval. Prepare and authenticate incorporation documents, manage DIN/Digital Signature applications, and execute timely MCA filings. Statutory Compliance & Reporting Ensure timely preparation and filing of annual returns, statutory forms, and other regulatory submissions as per the Companies Act, LLP Act, and related regulations. Maintain up-to-date statutory registers, record, and ensure robust documentation in line with compliance norms. Monitor changes in legislation and proactively update internal stakeholders on applicable regulatory developments and implications. Board Governance Draft, review, and circulate board and committee meeting notices, agendas, resolutions, and minutes in a timely and accurate manner. Maintain complete and updated secretarial records and facilitate smooth execution of board-level governance protocols. Policy & Confidentiality Oversight Collaborate with leadership and legal teams in formulating key policies aligned with the organizations strategic and compliance goals. Ensure sound information management and confidentiality protocols are implemented and maintained across functions. Legal Compliance & Risk Management Provide sound legal and regulatory advice to management, helping prevent non-compliance and mitigate potential legal risks. Partner with internal audit and finance teams to provide accurate data and documentation during audits or inspections. Stakeholder Management Act as a critical liaison between internal teams, management, and external regulatory bodies, ensuring seamless communication and process alignment. Support shareholder and investor communication, particularly in relation to corporate filings, disclosures, and general meeting matters. Core Requirements Qualified & practicing Company Secretary with active membership with ICSI. 6 to 8 years of post-qualification experience in corporate secretarial roles. Strong knowledge of corporate laws, secretarial standards, and MCA portal filings. Meticulous attention to documentation and compliance timelines. Experience in RERA filings will be an added advantage. Proficient in drafting, reviewing, and maintaining legal documents and records. Excellent coordination and stakeholder management skills. Ability to work independently and ensure zero non-compliance. Strong technical background in IT infrastructure, cloud computing, O365, Farvision (ERP), and collaboration tools.
