Job Title: Company Secretary & Compliance Officer
Location: Mumbai Department: Legal & Compliance Reporting to: Managing Director / Board of Directors Experience: Minimum 10 years, preferably in BFSI Educational Qualification: 1. Qualified Company Secretary (ICSI) 2. LLB (preferred) 1. About the Role: We are seeking a highly motivated and experienced Company Secretary and Compliance Officer to join our listed entity's leadership team. This critical role involves: Ensuring robust corporate governance Managing compliance with all applicable laws and SEBI regulations Acting as a key liaison between the board, management, and regulators The ideal candidate will bring deep domain expertise in BFSI, a proactive approach to compliance, and strong legal acumen. 2. Key Responsibilities: 2.1. Company Secretarial Functions: 1. Ensure compliance with the Companies Act, 2013, SEBI (LODR), and other statutory regulations. 2. Convene, coordinate, and document Board, Committee, and General Meetings, including preparation of agendas, notices, minutes, and resolutions. 3. Maintain statutory registers and records, and ensure timely filing of returns and disclosures with MCA and stock exchanges. 4. Assist the Board in implementing best corporate governance practices. 5. Coordinate with auditors, regulators, and stakeholders on governance and compliance matters. 2.2. Compliance Responsibilities: 1. Ensure end-to-end compliance with SEBI and stock exchange requirements for a listed entity. 2. Monitor and implement policies and systems to comply with applicable legal and regulatory obligations. 3. Conduct periodic compliance risk assessments and implement mitigation strategies. 4. Liaise with regulators (SEBI, Stock Exchanges, ROC, etc.) and handle inspections, inquiries, and other regulatory interactions. 3. Candidate Profile: 1. Qualified Company Secretary with a strong track record in listed companies. 2. Minimum 10 years of post-qualification experience, preferably in BFSI sector. 3. LLB or law background is an added advantage. 4. Strong understanding of corporate laws, SEBI regulations, and listing obligations. 5. Excellent communication, drafting, and stakeholder management skills. 6. Proactive, ethical, and capable of operating independently in a leadership role.
