Job Description

We're looking for an experienced and highly skilled Company Secretary to join our team.The ideal candidate will be responsible for ensuring the company's compliance with all statutory and regulatory requirements and providing expert advisory support on corporate governance matters.

Key Responsibilities

  • Secretarial & Statutory Compliance: Oversee and manage all secretarial functions, ensuring strict adherence to regulations set by SEBI, ROC, and BSE, particularly regarding Listing Obligations and Disclosure Requirements (LODR).
  • Corporate Governance & Advisory: Provide expert advisory support to the Board of Directors on corporate governance, corporate restructuring, divestiture, mergers and acquisitions (M&A), and IPO activities.
  • Record Management: Maintain all statutory records, including minutes of meetings, statutory registers, and corporate policies.
  • Meetings & Reporting: Organize, coordinate, and support Board and Shareholder meetings, ensuring accurate corporate reporting and timely disclosures.
  • Shareholder & Stakeholder Management: Coordinate with shareholders and transfer agents and manage all shareholder-related services and inquiries.
  • Legal & Compliance Oversight: Manage the company's legal affairs and monitor adherence to all statutory, regulatory, and corporate reporting requirements.
  • ESOP Administration & Audit: Administer Employee Stock Ownership Plans (ESOPs) and support the Pan-India statutory audit process.
  • People Management: Lead and manage a team to ensure efficient and effective execution of all secretarial and legal tasks.
Qualifications & Must be a qualified Company Secretary and hold an LLB degree.

Experience:

A minimum of 3 years of post-qualification experience in a similar role, with a strong focus on secretarial and legal affairs within a listed company is essential.

Key Skills

  • In-depth knowledge of SEBI, ROC, and BSE regulations, including LODR.
  • Experience with IPO and post-listing compliance is highly desirable.
  • Strong understanding of corporate law, governance, and reporting.
  • Excellent communication, organizational, and leadership skills.
