As we transition into a regulated Non-Banking Financial Company (NBFC), we are strengthening our governance and compliance functions. We seek an experienced and proactive Company Secretary to support the Board and ensure full regulatory compliance as we enter our next phase of growth. Key Responsibilities 1. Statutory and Regulatory Compliance Ensure compliance with all applicable laws and regulations under the Companies Act, 2013 and the RBI Master Directions for NBFCs. Maintain all statutory registers, records, and filings with MCA, RBI, and other authorities (e.g., FC-GPR, FC-TRS, SH-4, etc.). Support the preparation and filing of annual returns, board reports, and other periodic disclosures. Track and implement regulatory updates relevant to NBFCs and fintechs. 2. Board and Governance Organize and manage Board, Committee, and General Meetings, including preparation of agendas, notices, minutes, and resolutions. Advise the Board on corporate governance best practices, directors’ duties, and compliance requirements. Coordinate appointment, resignation, and remuneration formalities for directors (EDs, NEDs, and Independent Directors). Manage documentation for share issuances, transfers, and related corporate actions. 3. NBFC Licence and Ongoing Compliance Liaise with the RBI, auditors, consultants, and legal advisors during the NBFC licensing process. Maintain continuous compliance post-licensing — including CRAR filings, return submissions, and RBI inspections. Support the development and maintenance of compliance policies, internal control frameworks, and documentation systems. 4. Corporate Structuring and Transactions Oversee shareholding changes, capital infusions, and investor-related documentation. Support drafting and execution of board resolutions, shareholder agreements, and other legal instruments. Coordinate with external counsel on due diligence, funding rounds, and intercompany arrangements. 5. This is the gap that NIRA is looking to fill. Launched in 2018, NIRA has found a very strong product market fit, and has established itself as the category leader for the mass market segment. Since the passing of Covid, the company grew quickly and achieved profitability in 2023. Last year brought some challenging headwinds, but we weathered those well and are well placed for our next phase of growth. This is a huge market, we need to go after it. Job Summary We are looking for a highly analytical and results-driven Growth Analyst who can blend strong data analysis skills with hands-on performance marketing execution. The ideal candidate will be equally comfortable writing SQL queries, interpreting funnel data, and managing paid user acquisition campaigns across Meta, Google, and other digital platforms. You will play a key role in driving customer growth by uncovering insights, optimizing funnels, and executing campaigns that improve CAC, LTV, and overall business performance.
