ALYSIAN- IT DUE DILIGENCE- LEAD, INDIA JOB TITLE: IT Due Diligence Lead LOCATION: Anywhere in India (Existing hubs are in Delhi NCR, Mumbai & Bangalore) WORK ARRANGEMENT: Hybrid EMPLOYMENT TYPE: Permanent ABOUT US We are a fast-growing boutique advisor dedicated to technology and digital enabled value creation for large-cap Private Equity firms and their global portfolio companies. We are seeking talented and highly skilled Director-level consultants to join our team and support us to expand our impact in the Private Equity (PE) sector. You will be working closely with Alysian leaders, PE Operating Partners, and the CIOs/IT Leadership teams at portfolio companies to execute transformative IT-enabled value creation strategies. CONTEXT ON ROLE We are looking to build and grow a premier IT Due Diligence practice for India and Global clients that consistently delivers exceptional value to private equity clients and its Portfolio companies, positioning Alysian as a trusted partner in technology evaluations for mergers and acquisitions. We are seeking a hands-on, results-driven individual to join our growing team. This individual will play a critical role in both risk avoidance and value creation for our Private Equity clients, leading IT due diligence (DD), technology strategy, and transformation initiatives. The ideal candidate will have deep experience in Private Equity-backed businesses, with a focus on operational execution, risk mitigation, and identifying opportunities for growth and value creation through technology. This role combines technical expertise, business acumen, and a strong client management capability. QUALIFICATION MBA (premier or leading Business Schools) and/or Recognized degree from leading international universities, with a post-graduate degree WORK EXPERIENCE A minimum of 12+ years of experience in IT consulting or technology advisory, with at least 5 years of specialized expertise in IT Due Diligence for mergers and acquisitions (M&A), particularly within private equity, venture capital, or boutique consulting environments. Proven expertise in assessing IT infrastructure, application portfolios, cybersecurity frameworks, data privacy, and compliance standards, with the ability to identify and mitigate technology risks and uncover opportunities in target companies. Demonstrated success in client acquisition and business development, with a track record of securing new clients, expanding services with existing clients, and consistently achieving high client satisfaction and retention rates. KEY RESPONSIBILITIES 1. Technology Evaluation & Assessment: Conduct comprehensive assessments of target companies' software products, digital platforms, and technology stacks, high level SDLC process reviews, development org and operating model review, development and license costs, ensuring alignment with industry best practices and identifying potential risks, challenges, and opportunities for improvement. 2. Enterprise IT Evaluation & Assessment: Conduct comprehensive assessments of target companies' enterprise IT landscape including IT Organization, IT Operating Model, key enterprise systems (including ERP, HRMS, CRM, etc.), IT Costs, IT Programs, IT Infrastructure, ensuring alignment with industry best practices and identifying potential risks, challenges, and opportunities for improvement. 3. Due Diligence Analysis: Lead technology due diligence processes for mergers, acquisitions, carve-outs or investments (including stand alone cost assessments and budgeting), evaluating the target company's technology infrastructure, product architecture, scalability, security, and performance. 4. Integration Readiness: Assess the readiness of technology platforms and products for potential post-acquisition integration, identifying key integration risks and synergies with the acquiring organizations systems and technologies. 5. Risk Identification & Mitigation: Identify technical, operational, and financial risks related to software development, digital strategy, and technology management. Propose strategies to mitigate risks and ensure smoother integration or future scalability. 6. Vendor & Tool Assessment: Evaluate third-party software, services, and tools used by the target company to assess their effectiveness, cost efficiency, and alignment with long-term technology strategy. 7. Technical Debt Assessment: Analyze and identify any technical debt within the targets codebase, software products, or infrastructure, providing recommendations on addressing legacy issues to ensure future growth and sustainability. 8. Technology Operating Model and Organization Assessment: Analyze the Operating Model of the target from right sizing/ right sourcing/right shoring perspective including the vendor mix. 9. Product Strategy & Roadmap Evaluation: Evaluate the target companys product development strategy, roadmap, and market positioning to ensure alignment with industry trends and buyer expectations. 10. Collaboration with Stakeholders: Work closely with cross-functional teams, including finance, legal, and business development, to provide insights and recommendations for informed decision-making during the due diligence process. 11. Financial Implications of Technology Decisions: Evaluate the cost structures related to technology development, licensing, and maintenance to assess potential financial impacts, including ROI, resource allocation, and ongoing costs. 12. Post-Due Diligence Support: Provide support and guidance post-transaction to ensure a seamless transition, whether it involves post-merger integration, product development, or alignment of technology strategies. REQUIREMENTS PE Experience Private Equity Expertise Experience in large or mid-cap PEs either as an operating partner, consultant in the PE sector or management role in a PE-backed company. Private equity experience is a strong asset, as it is key to aligning infrastructure strategies with investment objectives . Experience in large-cap PE houses e.g. Blackstone, Carlyle, Warburg, CVC, EQT, KKR is required. Consulting Experience Mandatory: minimum 10 years of experience in consulting or advisory roles MBB Boutiques Big-4s, Alvarez & Marshal etc. Technical & Analytical Skills In-depth knowledge of IT assessment frameworks, technology evaluation tools, and methodologies critical to conducting due diligence in M&A scenarios. Strong proficiency in financial modeling and analysis, enabling the evaluation of IT investment requirements, operating costs, and potential synergies to deliver comprehensive, data-driven assessments. Expertise in cloud computing, data architecture, digital transformation trends, and emerging technologies, with the ability to provide strategic guidance on modernization and integration initiatives for clients. Project Leadership & Delivery Extensive experience leading multidisciplinary/multi geography teams on complex, high-stakes projects, with the ability to manage multiple engagements simultaneously without compromising quality. Exceptional project management capabilities, including resource allocation, timeline management, quality assurance, and client communication to ensure projects consistently meet client expectations and deliverables. Strong foresight in anticipating project risks and implementing mitigation strategies to maintain a high standard of service delivery, ensuring seamless project execution and client satisfaction. Client-Focused Business Development Skills Successful track record in articulating the strategic value of IT Due Diligence in investment decisions, including creating compelling proposals, leading pitches, and securing new business. Skilled in market analysis and competitive intelligence to identify client needs, effectively position service offerings, and remain agile to changes in industry trends and the competitive landscape. Proven ability to build and nurture relationships with senior client executives, board members, and key industry partners to drive ongoing business development and foster long-term partnerships. Team Building & Mentorship Demonstrated expertise in recruiting, managing, and developing high-performing teams, including technical consultants and analysts, to ensure the delivery of high-quality IT Due Diligence services. Strong commitment to mentorship and talent development, fostering a culture of continuous learning, skill development, and knowledge-sharing to elevate team performance. Development of Best-Practice Methodologies Proven experience in designing and implementing structured methodologies and playbooks to standardize IT Due Diligence practices across projects, ensuring consistent quality and efficiency. Ability to develop and refine frameworks that incorporate industry best practices, regulatory standards, and client-specific needs, ensuring high-quality outcomes for every engagement. A proactive approach to continuous improvement, staying abreast of industry trends, regulatory changes, and emerging technologies to enhance and evolve the practices methodologies and tools. Communication & Influence Exceptional written and verbal communication skills, capable of producing and presenting complex technical analysis and insights in a clear, concise, and audience-tailored manner for senior executives and non-technical stakeholders. Strong influencing and negotiation skills, with the ability to persuade and align client stakeholders on strategic IT decisions, particularly in high-stakes, challenging environments. Expertise in managing cross-functional teams and third-party vendors, with a demonstrated ability to coordinate effectively across organizational levels and drive alignment toward shared goals.
