Role Overview: We are looking to hire an experienced and highly competent In-House Legal Counsel to join our Legal & Compliance team. The ideal candidate must have prior in-house legal experience, preferably in the manufacturing or FMCG industry with strong expertise in contract drafting and negotiation, and hands-on experience with legal compliance tools. This role requires a deep understanding of corporate and commercial law, strong contract lifecycle management skills, and a proactive approach to compliance and regulatory governance. The candidate should also demonstrate excellent analytical, interpersonal, and communication skills to work cross-functionally with business and operational teams. Key Responsibilities: Contract Management & Legal Drafting Draft, review, and negotiate a broad range of commercial contracts including vendor agreements, distribution agreements, service contracts, NDAs, MOUs, licensing and consultancy agreements. Ensure contracts are aligned with applicable laws, internal policies, and risk mitigation frameworks. Support contract lifecycle management (CLM) activities including version control, archiving, and contract repository management. Legal Analysis & Due Diligence Conduct legal due diligence for joint ventures, M&A transactions, business partnerships, and supplier evaluations. Identify key legal and compliance risks and provide actionable recommendations to management. Support legal audits, investigations, and assessments as required. 3. Legal Documentation & Records Prepare and maintain legally compliant templates and legal documentation for recurring use. Ensure timely documentation and systematic storage of all legal correspondence and instruments. Assist in drafting internal legal opinions, notices, and statutory letters. Compliance & Regulatory Governance Implement and monitor legal and regulatory compliance measures across the organization. Use compliance management tools/software to track regulatory filings, obligations, and deadlines. Provide periodic compliance training to internal teams and keep them informed about key legal changes. Corporate Legal Support Advise on corporate governance issues, entity management, and board/shareholder resolutions. Liaise with statutory and regulatory authorities for registrations, licenses, and compliance filings. Assist in legal issue resolution, managing notices, and coordinating with external counsel, when required. Qualifications & Experience: LLB degree from a reputed institution. At least 2 to 4 years of post-qualification experience in a corporate legal role, preferably in a manufacturing or FMCG company. Demonstrated ability to draft, negotiate, and vet a variety of commercial contracts independently. Hands-on experience using compliance management tools (e.g., Legatrix, ComplyGlobal, LexComply, etc.) and CLM software. Sound understanding of legal and regulatory requirements under Indian corporate, commercial, and contract law. Proficiency in Microsoft Office (especially MS Word and Excel), along with document collaboration and tracking systems. Strong written and verbal communication skills, with the ability to simplify complex legal concepts for non-legal stakeholders. D.
