Job Description

As a member of the Global Strategic Due Diligence team within Corporate Development, your primary responsibility will be to conduct commercial and strategic financial due diligence on potential M&A targets. This will involve tasks such as market sizing, benchmarking, customer interviews, value capture planning, and other ad hoc commercial analyses. Additionally, you will be coordinating corporate functional due diligence across various departments including finance, HR, tax, legal, IT, Security, and other corporate functions. While your role will be based in India, you will be supporting M&A activities in North America, Europe, UKI, and have a primary focus on APAC pursuits. Your additional responsibilities will include assisting the Corporate Development Regional Diligence Leads in end-to-end cross-functional corporate due diligence and transaction management for M&A deals. You will also be preparing materials for and participating in target management meetings, collating due diligence findings for review by the investment committee, reviewing and providing input on legal contracts associated with transactions, and coordinating transaction signing and closing procedures. Furthermore, you will assist in preparing Executive Leadership and Investment Committee deliverables and communications, as well as support the post-closing phase to facilitate integration. It is essential for you to demonstrate Cognizant's core values and support inclusion and diversity goals. You will also be responsible for coaching and training fellow associates to ensure best practices across the team. Mandatory qualifications for this role include a minimum of 10 years of experience in business services, technology services, or other professional services industry. Proficiency in Excel for data analysis and preparing high-impact presentations in PowerPoint is also required. Prior experience in due diligence (financial, commercial, operational) with a top-tier consulting firm, big 4, or another corporate development team is essential. While certifications such as Chartered Accountancy, CFA, or MBA are preferred, they are not mandatory. A Bachelor's or Master's degree in Accounting, Finance, or a relevant business field is preferred. Experience in M&A involving over 25 transactions in deal execution, commercial due diligence, M&A strategy, or financial due diligence is also advantageous.,
