This role is an excellent opportunity for mid-level legal professionals with a strong focus onequity capital markets. Role Overview: As a Capital Markets Lawyer, you will play a key role in advising clients onequity transactions, includinginitial public offerings (IPOs),follow-on public offerings (FPOs),rights issues,qualified institutional placements (QIPs), andprivate placements. You will work closely with domestic and international clients, regulatory bodies, and stock exchanges to ensure smooth execution of transactions while managing legal risks effectively. Requirements Key Responsibilities: Provide legal advice and support on a broad range ofequity capital market transactions, ensuring compliance with applicable securities laws and regulations. Draft and review offer documents, prospectuses, placement memoranda, and other transaction documents. Assist in the due diligence process, identifying potential legal and compliance risks, and proposing mitigation strategies. Liaise with regulators, including SEBI, stock exchanges, and depositories, to ensure timely approvals and clearances for transactions. Negotiate and coordinate with stakeholders, including clients, underwriters, legal counsel, auditors, and regulators, to facilitate seamless deal execution. Keep abreast of regulatory developments and market trends affecting equity capital markets and advise clients accordingly. Support business development initiatives and contribute to knowledge sharing within the firm's capital markets practice. Key Requirements: PQE: 46 years of hands-on experience inequity capital market transactionsgained at a top-tier law firm or in-house legal team. In-depth knowledge of Indian securities laws, including the SEBI (ICDR) Regulations, Companies Act, 2013, and other applicable regulations. Demonstrated experience handlingIPOs,QIPs,rights issues, and other public and private equity offerings. Strong legal drafting, negotiation, and analytical skills with an eye for detail. Excellent communication and interpersonal skills to interact effectively with clients and stakeholders. Ability to work under tight deadlines, manage multiple transactions simultaneously, and thrive in a fast-paced environment.
