URGENT VACANCY !!!!!! Company Profile : Super Iron Foundry was founded by a visionary, Mr. Narendra Jain in 1977. It is one of the oldest manufacturers of Grey Iron Castings in India. Position : Company Secretary Qualification: Graduate(excluding Arts), must have completed CS Executive Programme with relevant experience. Good communication & written skills is must. Experience - 3 to 5 years in the same field. Key Responsibility Areas: 1. Regulatory Compliance Ensure compliance with Companies Act, SEBI regulations (for listed companies), FEMA, and other applicable laws. Filing of returns and documents (e.g., annual returns, financial statements) with ROC and other authorities. Maintain statutory registers and records as per law. Monitor compliance calendar to avoid any lapses. 2. Corporate Governance Advise the board and senior management on best governance practices . Ensure adherence to Board procedures and applicable corporate policies . Support the implementation of internal codes of conduct (e.g., Insider Trading Code). 3. Board and Committee Support Organize board meetings , committee meetings, and general meetings (AGMs/EGMs). Prepare and circulate notices, agendas, and minutes of meetings. Ensure board decisions are documented and implemented properly. 4. Liaison and Coordination Act as a bridge between the board and stakeholders (including shareholders, regulators, and other departments). Liaise with regulatory bodies such as the Registrar of Companies (ROC), SEBI, Stock Exchanges, and RBI. 5. Risk Management & Legal Advisory Identify legal and compliance risks , and work to mitigate them. Provide legal opinions or coordinate with legal counsel for corporate matters. 6. Secretarial Audits and Certifications Ensure timely secretarial audits under the Companies Act. Issue compliance certificates where required. Ensure proper documentation for due diligence. 7. Shareholder Relations Handle shareholder grievances and ensure timely redressal. Manage share transfers, dividend payments, and demat activities . 8. Documentation and Record-Keeping Maintain updated and accurate company records . Safeguard company seal, certificates, and confidential records . 9. Policy Formulation and Implementation Draft and revise corporate policies like whistleblower policy, CSR policy, and code of conduct. Ensure these policies are effectively implemented. 10. Training & Capacity Building - Conduct training for board members and senior management on legal and governance matters. Salary: Rs. 50,000/- to Rs. 60,000/- per month Location: Corporate Office(Rabindra Sadan), Kolkata. Joining: Immediate / short notice period only.
