Position : Company Secretary Experience: 4+ years (preference to candidate having experience with a listed company) Location: Kandivali West Reports To : Board of Directors / CFO / Managing Director Role Overview: The Company Secretary will play a pivotal role in ensuring the company’s compliance with statutory and regulatory requirements while supporting the Board of Directors in effective governance practices. The role involves managing secretarial, legal, and compliance functions, particularly those applicable to listed entities, while also providing strategic advice on corporate governance, restructuring, and stakeholder management. Key Responsibilities:  Ensure compliance with the Companies Act, 2013, SEBI (LODR) Regulations, FEMA, and other applicable laws.  Organize, convene, and record minutes of Board Meetings, Committee Meetings, and General Meetings.  Draft agenda, notices, resolutions, and minutes in compliance with statutory requirements.  Maintain statutory registers, records, and filings with MCA, ROC, SEBI, Stock Exchanges, and other authorities.  Handle quarterly, half-yearly, and annual compliances applicable to listed companies (including corporate governance reporting, shareholding patterns, voting results, etc.).  Coordinate with stock exchanges for filings, disclosures, and investor-related compliance.  Assist in drafting Annual Reports, Corporate Governance Reports, Directors’ Reports, and other statutory disclosures.  Liaise with external regulators, auditors, legal advisors, and stakeholders.  Support in corporate restructuring, secretarial due diligence, and policy drafting (Insider Trading Policy, Code of Conduct, etc.).  Ensure timely compliance with RBI/FEMA-related filings (if applicable). Desired Candidate Profile:  Qualified Company Secretary (ACS / FCS).  4+ years of post-qualification experience, with hands-on exposure to listed company compliances.  Strong knowledge of Companies Act, SEBI LODR, Insider Trading Regulations, and Corporate Governance framework.  Excellent drafting, communication, and presentation skills.  Ability to manage multiple stakeholders, maintain confidentiality, and work independently.  Proficiency in MS Office tools, MCA portal, NSE/BSE listing portals, and other e-filing platforms Career Growth & Opportunities: The role provides exposure to end-to-end secretarial and compliance functions of a listed company.
