Role & responsibilities Compliance with Companies Act, RBI guidelines, and other regulations: Ensuring the NBFC operates within the legal framework, including timely filing of returns and documents with the Registrar of Companies (ROC) and RBI. Corporate Governance: Guiding the Board of Directors on corporate governance best practices, ensuring transparency, accountability, and fair dealings. Board and General Meetings: Facilitating the smooth conduct of Board and general meetings by preparing agendas, board papers, and minutes, and following up on action points, according to Michael Page . Maintaining Statutory Records: Keeping accurate and up-to-date statutory books and registers, such as the register of members, directors, and charges. Regulatory Filings: Managing RBI filings, including monthly returns, quarterly NBS returns, FPC filings, and statutory compliance updates. Liaison with Stakeholders: Acting as a key point of contact between the company and stakeholders, including shareholders, regulatory bodies, and legal counsel. Drafting and Reviewing Documents: Assisting in the drafting and review of company policies, shareholder agreements, resolutions, and legal documents related to fund raising and debt listings. Regulatory Analysis and Implementation: Monitoring and interpreting changes in RBI circulars, Companies Act, and other relevant regulations, advising management, and ensuring timely implementation. Compliance Monitoring and Risk Assessment: Conducting internal audits, assessing compliance risk, and ensuring adherence to internal controls. Training and Awareness: Educating employees on compliance-related matters, such as data privacy and ethical conduct.
