MUST POSSESS COMPACT LEGAL AND BUSINESS ACUMEN, AND SOUND ANALYTICAL AND PROBLEM-SOLVING SKILLS. 4. MUST BE ABLE TO MANAGE WORKLOADS INVOLVING TASKS OF VARYING PRIORITY AND COMPLEXITY. 5. Role & responsibilities Ensure compliance under Companies Act, 2013 board/committee meetings, filings, registers, corporate governance. Handle FEMA & RBI compliances FDI, ODI, ECB, FC-GPR/FC-TRS, FLA, and related filings. Manage FCRA compliance foreign contributions, reporting, and disclosures. Oversee SEBI & IPO matters – LODR, PIT, listing compliances, disclosures, IPO documentation, coordination with SEBI/Stock Exchanges. Liaise with regulators – MCA, SEBI, RBI, MHA, Stock Exchanges, Depositories. Conduct compliance audits, due diligence, and risk management . Advise on corporate restructuring, fundraising, M&A, JV, foreign collaborations . Supervise junior staff and ensure smooth coordination across departments. Preferred candidate profile Qualification: Qualified Company Secretary (ACS/ACS with LLB preferred) . An additional qualification in Law / Finance / MBA will be an advantage. Experience: 2-5 years of post-qualification experience in corporate secretarial & compliance function. Hands-on experience in Company Law, FEMA, SEBI LODR, IPO, RBI, and FCRA compliances . Prior exposure to listed companies / IPO process / financial institutions desirable. Technical Skills: Strong knowledge of Companies Act, SEBI Regulations, FEMA, RBI guidelines, FCRA . Proficiency in MCA filings, SEBI submissions, RBI reporting, and compliance tools . Drafting skills for minutes, resolutions, agreements, policies, and disclosures . Soft Skills & Attributes: Strong communication and stakeholder management. Ability to liaise with regulators, advisors, and auditors. High integrity, detail-oriented, and proactive in compliance monitoring. Leadership skills to manage junior team members and cross-functional coordination .
