Merger & Acquisition Tax - Senior/Manager

As a manager in the Mergers and Acquisitions group within the Tax Advisory Department at Citrin Cooperman, you will have the opportunity to interpret and apply U.S. federal income tax law in the context of M&A transactions. Working collaboratively as part of a multi-disciplinary team, your focus will be on providing due diligence and tax structuring services to clients, ensuring clear communication of findings and opportunities. Your role will involve conducting tax research on various technical transaction tax issues, including those related to consolidated returns, S Corporations, partnerships, and limited liability companies. You will be responsible for writing technical memoranda and advising clients on complex tax matters, as well as identifying tax risks during due diligence processes and communicating findings effectively. Additionally, you will review excel-based transaction tax models, provide transaction structuring advice for sell-side and buy-side transactions, and manage various aspects of projects such as resource requirements, budgets, and team development. To be successful in this role, you should have a minimum of 3 years of experience in federal tax and/or mergers and acquisitions, along with a Bachelor's degree from an accredited college or university. You must possess a strong knowledge of US federal tax laws, including corporate, individual, trust, gifts, and partnership taxation. Excellent research, writing, and verbal communication skills are essential, as well as a high level of motivation and outstanding analytical, organizational, and project management abilities. Proficiency in Microsoft Office Applications, particularly Microsoft Excel, is required, and the ability to work effectively in teams is a key aspect of this position.
