Job Summary
The Lawyer cum Company Secretary will manage all legal, statutory, and compliance activities for the group, ensuring adherence to company law, mining and environmental regulations, and trading contracts. The role involves handling dual responsibilities — legal advisory and corporate governance — to safeguard company interests and ensure smooth regulatory functioning across coal trading, mining operations, and allied businesses.
Key Responsibilities
A. Legal & Regulatory (Coal and Mining Specific)
Draft, review, and vet coal supply agreements, transportation contracts, mining lease documents, and MoUs with suppliers/customers.
Ensure compliance with the Mines and Minerals (Development & Regulation) Act, 1957, Coal Mines (Nationalization) Act, and related State Mining Rules.
Manage legal due diligence for new mines, land acquisition, or JV projects.
Represent the company in arbitration, litigation, and statutory hearings before mining, environment, or revenue authorities.
Liaise with Directorate of Geology and Mining, Pollution Control Boards, and other government bodies.
Handle trade license renewals, tender documentation, and legal verifications.
Provide legal advice on commercial contracts, labor issues, and business expansion plans.
B. Company Secretarial Responsibilities
Ensure compliance under the Companies Act, 2013 and other allied laws.
Conduct Board Meetings, General Meetings, and prepare agendas, notices, minutes, and resolutions.
File statutory returns with MCA/ROC within prescribed deadlines.
Maintain all statutory registers, share records, and documentation for related party transactions.
Assist in joint ventures, mergers, acquisitions, and business restructuring.
Advise the Board on corporate governance, risk management, and compliance framework.
Act as a bridge between management, shareholders, and regulatory authorities.
C. Strategic & Advisory
Advise management on implications of key business decisions, new projects, or regulatory changes.
Implement legal and secretarial automation tools to improve compliance efficiency.
Train internal teams on contract management, compliance updates, and ethics.
Qualifications
Education:
Bachelor’s Degree in Law (LLB) – Mandatory
Member of the Institute of Company Secretaries of India (ICSI) – Mandatory
LLM or specialization in Corporate/Mining Law preferred
Experience:
Minimum 6–10 years in handling both Legal and CS responsibilities
Prior exposure to mining, energy, coal trading, or heavy industry sectors preferred
Key Skills
In-depth understanding of corporate, mining, and environmental laws
Excellent drafting, negotiation, and analytical skills
Strong command over compliance management and ROC filings
Good liaison skills with government and regulatory bodies
Integrity, confidentiality, and ability to work independently
