Job Description

Recurring Secretarial Compliance & Review.

This shall include:

Preparing, certifying and filing of returns under Companies Act 2013

Maintenance of Minutes, Notices and Agendas of Board and Shareholder Meetings

Maintenance of Statutory Registers under Companies Act 2013

Vetting of Directors Report

Preparing, certifying and filing of all other regular forms with ROC, as required from time to time.

Advising on Company Law matters

Filing of FLA with RBI

Secretarial Services.

Vetting of notice and agenda of the meeting of the members of the company.

Vetting minutes of the meeting of the members of the company.

Vetting Directors Report.

Preparing, certifying and filing of forms with Ministry of Corporate Affairs (MCA).

Maintaining and updating all the statutory registers which includes;

a. Register of Members;

b. Register of Issues and Allotment of Shares;

c. Register of Transfer;

d. Register of Contracts;

e. Register of Directors and their Shareholding;

f. Register of Investments & Charges, etc.

To prepare, certify and file e-forms with the Ministry of Corporate Affairs (MCA) in the regular course of business except the e-forms pertaining to the Increase in the Share Capital of the Company, Further issue of share Capital, Shifting Registered Office of the Company or any other event-based e-forms pertaining to any activity which is not in the regular course of business.

Legal documents perusal and advisory thereto

To also include .

1. Follow up for completion of the above tasks.

2. Timely reminder to the company and its members regards filing of forms

3. Ensure timely filing of the above forms without penalty to the company
