Company Secretarial & Compliance Officer

As a Company Secretarial & Compliance Officer at our Mumbai office in Andheri East, you will play a crucial role in leading the corporate compliance and secretarial function of the company. Your role will involve active engagement with regulatory authorities like SEBI, NSE, and BSE, especially in the context of the current listing suspension. You should have at least 4 years of experience in a listed company and possess a deep understanding of regulatory requirements to effectively manage corporate compliance and governance processes. Key Responsibilities: - Act as the primary interface with SEBI, NSE, and BSE, particularly concerning compliance during listing suspension and reactivation - Ensure adherence to SEBI regulations, LODR, Companies Act, and other legal requirements - Manage all regulatory filings, disclosures, and communications with stock exchanges Company Secretarial Functions: - Organize and oversee Board Meetings, Committee Meetings, and AGMs, including agenda preparation, minutes drafting, and compliance with legal timelines - Handle statutory document filings with the ROC, oversee annual report preparation, and governance documentation - Maintain statutory registers and corporate records in line with regulatory guidelines Capital Market & Corporate Transactions: - Supervise compliance and documentation for NCD issuance, IPO allotments, and other securities offerings - Collaborate with legal advisors, merchant bankers, agents, and regulators on transaction-related compliance Documentation & Communication: - Prepare precise and timely board resolutions, statutory disclosures, annual returns, and other communications to investors and regulators - Uphold a high standard of corporate communication through both written and verbal channels Your expertise in company secretarial and compliance matters will be instrumental in ensuring the company's adherence to regulatory frameworks and facilitating effective corporate governance processes.,
