Job Description

As an Assistant Vice President (AVP) Company Secretary at our esteemed organization in Mumbai (Santacruz), you will play a crucial role in overseeing the corporate secretarial function. With a qualification in Company Secretary (CS) and LLB, along with 7 to 12 years of relevant experience, you will be responsible for various key tasks and projects within this function. Your primary responsibilities will include preparing Board and Committee agendas, as well as minutes, and ensuring timely follow-up on actions resulting from meetings. You will supervise critical projects within the CS function and drive simplification and automation of processes while maintaining a repository of processes and checklists. Monitoring changes in legislative and regulatory environments will be essential, requiring you to disseminate information appropriately and take proactive actions to ensure compliance and safeguard the company's interests. You will also provide support and guidance to the Board, Board Committees, and individual directors to help them effectively discharge their duties. In addition, you will be tasked with ensuring compliance with the Companies Act, including filing relevant forms with the Ministry of Corporate Affairs (MCA), and managing compliance for a high-value debt-listed company, adhering to SEBI regulations and debenture trustee regulations. Maintaining statutory registers and records, filing annual returns, financial statements, and other statutory documents on time, and serving as a Centre of Excellence for interpreting the Companies Act and SEBI regulations will also be part of your role. Furthermore, you will act as a single point of contact for the CS function within the organization and with external parties such as secretarial auditors, statutory auditors, etc. Your guidance and support to senior management in corporate secretarial matters, Board and shareholder dealings, and interactions with regulators and external stakeholders will be crucial. Moreover, you will provide administrative support to the Company Secretary, prepare presentations, MIS reports, and other documentation. Your key competencies should include excellent organizational and time-management skills, strong attention to detail, exceptional written and verbal communication skills, the ability to handle sensitive information with discretion, and upholding the highest ethical standards and integrity in all professional dealings. Transparency and accountability in the execution of your duties will be paramount in this role.,
