Role description - Drafting and vetting of Agreements- NDA, Service Agreement, Vendor Agreement, Marketing agreement, Merchant Agreement - Drafting of Payment Aggregator Agreement and Merchant Aggregator agreement - Reviewing/updating the policies and terms and conditions for various products and campaigns. - Managing and handling the Litigations, drafting legal notices and reply to legal notices. - Registration and Protection of IPR - Understanding the needs of a Fintech and drafting/modifying the agreement templates in accordance with business requirements. - Knowledge of laws related to data privacy and data protection. - Creating the agreement templates for new business ideas and product launch to meet the commercial requirements of the Company. - Evaluate the impact of all major changes in the law and assesses the impact on the policies and operating procedures - Review and provide legal advice on product notes, process notes, operation flows. - Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken. - Flagging and highlighting the contractual or legal risks involved in contracts under discussion. - Providing Contract Management support Candidate : - Law graduate from a reputed industry - 1-3 years of relevant experience in Fintech/Financial Service Industry or a legal firm with clients from Fintech or financial service industry - Ability to understand business requirement and effectively draft and negotiate business terms. - Good drafting skills with previous experience of drafting different types contracts. - Strong fundamentals and understanding of Contracts, Statutory Requirement applicable to Contracts. - A Self Starter with ability to work with minimum supervision in a team environment.

Actively work on researching on identifying businesses that are using EC-Council registered trademarks, and copyrights and sending out DMCA and cease and desist notices 2. Assist in registration, cataloging, renewal, and maintenance of all EC-Council trademarks 3. Prepare, review, draft, and negotiate contractual documentation (i.e., non-disclosure agreements, customer-based agreements, professional services agreements, consultancy agreements, services agreements, license agreements, termination notices, supplier, vendor, tax-related forms, etc.) 4. Liaise with other departments and subsidiaries (within the group) and co-ordinate to obtain relevant information for documentation and filing, if necessary 5. Assist in sending out lawsuit responses and research on case laws. 6. Assist in providing legal counseling, legal research, and case documentation as and when required 7. Assist the team in all legal matters including conveyance, corporate, advisory, litigation, and dispute resolution 8. Identify legal risks and discuss/advise on the appropriate course of action Requirements: 1. Good oratory skills - should be able to communicate well, with higher management 2. Team player 3. Sensitivity toward a diverse work culture 4. Knowledge of M&A, due-diligence 5. Knowledge of CMS 6. Well versed with NSDL DLT platform and coordination with depositories for updation of documents. Liaising with MCA authorities, group companies, promoters, statutory and secretarial auditors, law firms. Advising on good governance practices and compliance of Corporate Governance norms Overseeing routine Registrar and Transfer activities such as transfer, transmission and issuing duplicate share certificates and handling problematic cases related to investors grievances. Conceptualization, drafting and finalization of Annual Report of the Company. Advising Company and subsidiaries on secretarial matters. Liaising with subsidiaries for compiling data. Responsible for drafting, review and vetting of all legal agreements of the organization related to Vendor agreement, NDAs, Client agreements, lease deeds etc. Assisting in drafting legal contracts and commercial agreements and ensure that contracts are in compliance with legal, regulatory, RBI and organizational policies.
