The Assistant Manager in the Compliance Department will serve as an Assistant Company Secretary, providing comprehensive support to the Company Secretary in managing compliance related to SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Companies Act, 2013, Prevention of Insider Trading, and other Secretarial matters. Responsibilities include filing and registering documents, drafting letters and resolutions, advising on secretarial matters, assisting in governing Board & shareholders meetings, and maintaining custody of secretarial documents. Key Responsibilities: - Filing, registering documents, drafting letters, resolutions, and minutes - Assisting in governing Board & shareholders meetings - Custody and record-keeping of secretarial documents - Staying updated with regulatory changes affecting the organization - Coordinating with finance, tax, and legal departments - Managing structured digital database under PIT Regulations - Handling trading approvals, closure of trading window, AGM preparation, and support for Board and Committee meetings - Ensuring timely disclosures, statutory compliances, and filing requirements - Assisting in the review of company policies and codes - Compliance management and handling corporate actions - Acting as a liaison with Auditors, legal counsel, and external advisors - Managing compliances related to subsidiaries Operating Network Roles & Teams Interaction: - Internal: Finance, Legal, Investor Relations, Human Resource, and other departments - External: RTA, IEPF/RoC, SEBI, Stock Exchanges, NSDL & CDSL, Consultants, Secretarial Auditors, Statutory and Internal Auditors Job Requirements: - Academic Qualification: Qualified Company Secretary with valid ICSI Membership number - Relevant Experience: 2-5 years - Technical Skills/Knowledge: Handling secretarial aspects of a listed company, knowledge of PIT, IEPF, Dividend, ESOP, regulatory changes, statutory Rules and Regulations, ESG & BRSR requirements - Behavioural Skills: Collaboration, Proactive approach, Practical Adeptness, Completeness, Commitment, Team spirit, Decision making, Problem Solving, Analytical skills, Stakeholder management In summary, the Assistant Manager in Compliance will play a crucial role in ensuring compliance and governance of the company's secretarial matters, regulatory requirements, and interactions with internal and external stakeholders.,
