The Company Secretary will act as a key governance professional ensuring compliance with SEBI, Companies Act, BSE SME listing regulations, and corporate governance norms . The role requires working closely with the Board, management, regulators, and shareholders to ensure transparent, ethical, and compliant business practices. Role & responsibilities Advise the Board on statutory and regulatory compliance under SEBI, MCA, and BSE SME rules. Manage board meetings, committee meetings, and general meetings , including drafting agendas, notices, minutes, and resolutions. Ensure timely filing of statutory returns, disclosures, and reports with MCA, SEBI, and stock exchange. Oversee corporate governance framework and ensure compliance with insider trading, related party transactions, and other SEBI requirements. Maintain statutory registers, shareholding records, and ESOP administration . Support in fund-raising, investor relations, and due diligence for corporate actions. Act as the liaison with regulators, shareholders, and stakeholders to ensure smooth communication. Qualifications & Experience Qualified Company Secretary (CS) with valid membership of ICSI . 5 to10 years of experience (preferably with a listed company or SME IPO experience). Strong knowledge of corporate laws, SEBI (LODR) Regulations, and SME listing compliance . Excellent communication, drafting, and governance skills.
