KGS DA&S provides customized solutions to KPMG member firms globally, focusing on M&A transactions through capabilities like Corporate Finance, Transaction Services, Strategy, Business Modeling, Accounting Advisory Services, Deal Advisory Research, and Benchmarking. As an Analyst in the Securitisation team, your responsibilities will include working on engagements related to various types of Securitisation such as Commercial Mortgage-backed securities (CMBS) and Residential Mortgage-backed securities (RMBS). This involves performing due diligence through loan file reviews, stratification calculations, legal document reviews, and preparing client deliverables like agreed-upon procedures reports and supporting working papers. Qualifications include a B.com / BBA degree, 0-6 months of experience, a basic understanding of the securitization market and regulatory standards related to structured products, strong analytical and problem-solving skills, effective business writing and verbal communication skills, keen attention to detail, the ability to multitask multiple activities, and proficiency in MS Office (MS Excel, MS Word) along with modeling skills using Excel. About the Role: We are urgently looking to onboard a skilled Corporate Legal professional with hands-on experience in securitisation (PTC/DA), debt documentation, and co-lending structures. This is a high-impact role, pivotal to enabling and supporting our core lending operations. The selected candidate will play a key role in structuring, drafting, and negotiating a variety of financial and lending agreements in alignment with business and regulatory requirements. Key Responsibilities: Draft, review, and negotiate legal documentation for co-lending transactions with Banks/NBFCs, securitisation transactions including PTC (Pass-Through Certificates) and DA (Direct Assignment), debt instruments such as Facility Agreements, Deeds of Hypothecation, Corporate Guarantees, and related security documents. Coordinate with internal stakeholders (credit, compliance, finance, business teams) to understand business requirements and provide legal support accordingly. Liaise with external counsels, lenders, and financial institutions to ensure timely and compliant execution of transactions. Ensure all documentation is in line with applicable legal, regulatory, and RBI guidelines. Support due diligence, risk mitigation, and legal compliance checks related to lending activities. Desired Candidate Profile: 3+ years of relevant experience in the lending/financial services space. Strong legal knowledge and prior exposure in co-lending structures, PTC / DA documentation, debt and borrowing transactions. Prior work experience in a FinTech, NBFC, or Banking environment is highly preferred. Excellent drafting, negotiation, and communication skills.
