Job Location: Bengaluru Devanahalli About The Role: This role requires you to manage the legal and corporate secretarial functions of SATS (India) Co. Private Limited and SATS Food Solutions India Private Limited (“ Group ”) and be a key business partner to the management of the Group to ensure compliance within all regulatory and organizational framework while meeting the Group’s corporate and commercial objectives. Legal Role · Provide accurate, prompt, and robust legal advice to the Business Units within the Group while ensuring legal risks are identified and managed. · Draft, review, and negotiate a wide variety of commercial contracts, with a particular focus on contracts for the construction of a central kitchen in Bangalore, and if required by the Group, spearhead intellectual property protection projects. · Instruct and manage external lawyers and legal costs. · Work closely with the legal team of the parent company of the Group where required to ensure compliance with applicable listing requirements and internal policies and guidelines. · Provide legal training on compliance and updates on new laws and regulations in accordance with the Group’s business needs. The role will also be to provide sound, business-oriented legal services to the Group as well as to constantly improve precedents and processes. You may also be required to travel at short notice and be assigned to new roles from time to time. Group Secretarial Role • Be responsible and manage the secretarial functions of the Group. • Schedule, plan, and organize ad-hoc/quarterly Board and Board Committee meetings. • Prepare agenda and draft minutes of Board/Board Committee Meetings and Directors’ Report. • Prepare and undertake all statutory and other filings including to the Registrar of Companies and the Ministry of Corporate Affairs. • Maintain and record Statutory Registers as required under the Companies Act & Rules thereunder. • Collect disclosures, consents, etc. required under the Company Law from Directors and submit them before Board. • Keep records of all corporate secretarial matters. • Assist to compile and distribute presentation matters for Board and Board Committee meetings. • Ensure complete hard copy documentation is kept at the corporate secretarial department and timely updating of soft copies onto the shared point folder. • Liaise with various statutory bodies like the Registrar of Companies and other Government departments, etc. • Assist in the preparation of the Annual Report and organizing the AGM/EGM. • Other day-to-day secretarial work of the Group. Requirements: · A recognized law degree from India with at least 7 years’ post-qualification experience in a reputable law firm and/or in an in-house position in a corporation. · ACS/FCS Membership of the Institute of Company Secretaries of India · Called to the Indian Bar. · A strong corporate and commercial background. · Strong interpersonal communication and management skills as the role will involve close interaction with Management and business units. · Sound commercial sense and critical thinking skills, a proactive practical approach, and the ability to manage a range of issues involving multiple areas of law, are critical traits necessary for this role. · Mature, meticulous analytical and a team player. Duties & Responsibilities: Financial Performance Analysis and Reporting Co-ordinate with Finance teams of pan-India business units Manage and oversee monthly and quarterly reporting packages comprising of financial performance, financial position and management reports of the business units. Drive, coordinate, prepare and track forecast and annual budget with business units Prepare monthly reporting of financial performance to SATS Group management Prepare cash flow forecast and liaise with Treasury on funding arrangements Business Partnership Advise SATS Group management and/or Board nominees on financial implications of projects undertaken by the business units, including review of financial projections for feasibility assessment Partner SATS Group functions to support local setup for new investments Support SATS Group M&A projects on financial due diligence and project documents review for new investments; projects include divestments Work closely with operational, legal, and commercial teams to support business goals. India Corporate HQ Activities Accounting and closure of accounts on time Prepare and issue intercompany invoices, monitor settlements, and resolve discrepancies. Coordinate external audits and manage relationships with auditors, outsourced professional firms, tax advisors, and regulatory bodies Ensure compliance with statutory requirements including tax filings, corporate reporting, and internal controls Handling of Income Tax related matters; ensure statutory compliances like TDS, GST, PF, ESIC, PT etc Manage and monitor Banking limits and requirements Formulate and implement the Financial policies & procedures Handling of corporate secretarial matters Identify areas for process improvement and implement best practices to enhance efficiency and accuracy Others Building a high-performing in-house finance team Any ad-hoc assignments and projects Requirements: CA with 10+ years of experience including Controllership stint with MNC Expert knowledge and experience of IFRS and India AS and local tax regulations is a must, with familiarity on Singapore FRS an advantage Strong working knowledge and experience on India company secretarial matters is an advantage Work experience in early-stage start-ups or founding experience is a plus Strong report writing and communication skills High attention to detail and organizational skills Independent and meticulous with good interpersonal relationship Strong analytical, organizational, and problem-solving skills Ability to work using Excel and PowerPoint confidently Strong planning skills to support dynamic business requirements and meet tight reporting timelines Hands-on experience in implementing and managing global reporting systems and ERP
