The Company Secretary shall be exposure & responsible for ensuring following compliances: Key Responsibilities: Corporate & Secretarial Compliance under the Companies Act, 2013 and allied laws. Listed Company Compliances – SEBI (LODR), insider trading, takeover code, corporate governance reporting. FEMA & RBI Compliances – ODI, FDI, ECB, FC-GPR/FC-TRS, and other cross-border transactions. Private Placement & Fund Raising Activities – drafting, filings, due diligence, advisory. DEMAT & Share Capital Compliance: Allotment, transfer, corporate actions, coordination with RTA/Depositories. Drafting & Filing: Preparation of Board/General Meeting documents – notices, agendas, resolutions, and minutes. Corporate Advisory: Advising on corporate restructuring, ESOPs, M&A transactions, and due diligence. Regulatory Liaison: Coordination with ROC, SEBI, RBI, Stock Exchanges, Depositories, and NCLT. Skills & Competencies Strong knowledge of: Companies Act SEBI (LODR) FEMA & RBI Guidelines LLP Act Exposure to: Fund raising DEMAT compliances Capital market regulations Excellent drafting, communication, and client-handling skills.
