Role Overview The Company Secretary (CS) will be responsible for ensuring effective corporate governance, compliance with statutory and regulatory requirements, and implementation of best practices in legal and secretarial matters. The role involves liaising with stakeholders, regulators, and the Board of Directors to ensure smooth functioning of the organization while upholding ethical and legal standards. Key Responsibilities1. Statutory & Regulatory Compliance Ensure compliance with provisions of the Companies Act, 2013 , and other applicable laws. Maintain statutory registers, records, and filings with the Ministry of Corporate Affairs (MCA) . Prepare and file forms such as MGT-7, AOC-4, DPT-3, DIR-3 KYC, CSR-1 , and other statutory returns. Oversee compliance under SEBI, FEMA, FCRA , and other applicable regulations, where required. 2. Board & General Meetings Organize, convene, and record Board Meetings, Committee Meetings, and Annual General Meetings (AGM) . Draft notices, agendas, minutes, and resolutions for meetings. Provide guidance to directors on their roles, responsibilities, and compliance obligations. 3. Corporate Governance & Advisory Act as a key advisor to the Board on corporate governance best practices . Ensure proper implementation of policies relating to ethics, compliance, and transparency. Advise management on legal risks, restructuring, mergers, or strategic decisions. 4. Legal & Secretarial Documentation Draft and review legal agreements, contracts, and MoUs. Maintain and update the company’s Articles of Association, Memorandum, and other key documents. Handle compliance related to issue and transfer of shares , shareholding changes, and maintaining cap tables. 5. Stakeholder & Regulatory Liaison Serve as a point of contact between the company and external regulators, including MCA, ROC, Income Tax, GST, RBI , and other authorities. Respond to regulatory notices, inquiries, and inspections. Coordinate with auditors, consultants, and external legal advisors. 6. Other Responsibilities Monitor changes in laws and regulations and ensure timely communication to management. Develop internal processes and controls to strengthen compliance frameworks. Prepare secretarial audit reports, internal compliance reports, and due diligence documents. Job Type: Full-time Pay: ₹15,000.00 - ₹20,000.00 per month Work Location: In person
