To strengthen our governance and ensure compliance, we are seeking a Company Secretary & Legal Counsel (CS + LLB) who will be responsible for corporate governance, legal compliance, and advising leadership on all regulatory and legal aspects of the business. Key Responsibilities Corporate Governance & Board Support Guide the Chairman and Board to ensure compliance with rules, regulations, and best practices. Support the Chairman in ensuring the Board functions efficiently and effectively. Facilitate communication between the Board, committees, senior management, non-executive directors, and shareholders. Company Administration Maintain statutory books (registers of members, directors, secretaries, shareholding records). Organise Board meetings and AGMs – prepare agendas, take minutes, and circulate reports. File necessary documents (annual returns, audit reports, resolutions, tax filings) with MCA/ROC. Notify ROC/Companies House of changes in share capital, directors, registered office, etc. Compliance & Legal Advisory Monitor changes in legislation and regulatory environment, advise the Board accordingly.
