Roles and Responsibilities: 1. Acquisition of immovable properties and conducting due diligence relating to the title of the property and preparing flow of title, due diligence report and legal opinion. 2. Drafting, vetting and execution of various documents such as Joint Development Agreements, Lease deeds, Leave and License Agreements, Sharing Agreements, General Power of Attorney, Special Power of Attorney, Sale Agreements, Sale Deeds, Assignment Agreements, Relinquishment Deed, Deed of Confirmation, Deed of Declaration, Mortgage Deed, Partition Deed, Civil and Technical Contract Agreements, Tripartite Agreements with the Banks and Customers, etc., 4. Updating and maintenance of Land Banking Data and Data of all the executed documents. 5. Taking care of the entire registration process of various documents through online portal. 6. Liaisoning with various statutory, local bodies, local planning authorities such as Revenue, BDA, BBMP, CMC, BIAAPA, BMRDA, BDA, Gram Panchayaths, Railways, KSPCB, BWSSB, BSNL, BESCOM, RERA in getting all approvals with respect to implementation of the real estate projects. 7. Review and negotiating bank funding documents, Service Agreements, Agreements related to finance/loan and other allied agreements. 8. Coordinating with the bank officials and Advocates in getting the Project approvals, Project Finance and Housing Loans to the customers. 9. Addressing queries and issues raised by the Customers and their advocates. 10. Keeping track of all the cases and coordinating with external advocates in attending the cases and follow up of the same. 11. Replying to the legal notices, keeping track of all the legal notices and resolving the issues. 12. Maintaining the project wise original documents and records. 13. Coordinating on daily basis with various internal teams such as Planning, Architects, Engineering, Marketing, Sales, CRM, Accounts and Purchase. 14. Providing clarification to Business/Finance other internal teams w.r.t any legal issues. 16. Job Summary ARISE is seeking a highly skilled and experienced Corporate Legal Manager to join our legal team. The ideal candidate will have extensive experience in corporate law, contract negotiation, and legal due diligence. This role requires expertise in drafting, reviewing, and negotiating various legal agreements and providing strategic legal advice to support business operations. Key Responsibilities Draft, review, and negotiate various legal agreements, including but not limited to: Joint-Venture Agreements Memoranda of Understanding (MoUs) Term Sheets Shareholder Agreements Share Purchase Agreements Share Subscription Agreements Non-Disclosure Agreements (NDAs) Purchase and Sale Agreements Slump Sale Agreements Conduct legal due diligence and prepare comprehensive due diligence reports. Advise on corporate law matters, ensuring compliance with relevant legal and regulatory frameworks. Negotiate transaction documents to safeguard the company’s legal and commercial interests. Collaborate with internal teams and external legal advisors to facilitate business transactions and corporate structuring. Provide legal support on mergers, acquisitions, and joint ventures. Assist in regulatory compliance and governance matters, ensuring adherence to best corporate practices. Qualifications & Experience Qualified lawyer with at least 3 years of corporate legal experience in a top-tier law firm or multinational corporation. Strong expertise in corporate law, contract law, mergers & acquisitions, and regulatory compliance. Proven experience in drafting and negotiating complex legal agreements. Strong analytical and problem-solving skills with the ability to provide strategic legal guidance. Excellent communication and negotiation skills. Ability to work independently while collaborating effectively with cross-functional teams. High attention to detail and ability to manage multiple projects simultaneously.
