Job Title: Company Secretary ROC Compliance Location: Kolkata, India Reports To: Director Job Overview: The Company Secretary – ROC Compliance will oversee all compliance activities related to the Registrar of Companies (ROC), ensuring timely filings and adherence to corporate laws. This role requires expertise in corporate governance, secretarial practices, and regulatory compliance. Key Responsibilities: ROC Compliance & Filings: Manage statutory filings (e.g., Form 23AC, AOC-4, MGT-7) and filings for changes in company structure (director appointments, share transfers). Corporate Governance: Ensure compliance with the Companies Act, draft resolutions, and maintain statutory registers and minute books. Legal & Statutory Filings: Handle documents for mergers, acquisitions, and corporate restructuring. Internal Compliance Monitoring: Collaborate with internal teams for timely filings and ensure compliance processes are followed. Advisory: Advise on corporate governance, legal compliance, and regulatory matters. Qualifications & Experience: Educational: ACS/FCS qualification, LLB preferred. Experience: 3-5 years in ROC and corporate compliance. Skills: Strong knowledge of the Companies Act, statutory filing portals (MCA), corporate governance, and excellent communication skills.
