Position: Merchant Banker / Principal Officer Location: New Delhi | Mumbai | Pune About the Company: We are a progressive financial services firm in the process of obtaining SEBI Category I Merchant Banker registration , aiming to offer end-to-end investment banking and capital market advisory services including issue management, underwriting, M&A, restructuring, and valuation. Our goal is to build a compliant and growth-driven merchant banking platform serving emerging and established businesses across India. Role Overview: We are looking for an experienced Merchant Banker / Principal Officer to lead the firm’s transition from registration to full operations as a SEBI Category I Merchant Banker. The role requires strong regulatory expertise, deal execution skills, and the ability to manage client relationships in India’s capital market ecosystem. Key Responsibilities: Lead SEBI Merchant Banker registration and ensure compliance with SEBI (Merchant Bankers) Regulations, 1992. Establish and manage merchant banking operations, documentation, and compliance systems. Execute issue management for IPOs, FPOs, Rights Issues, QIPs, Buybacks, and Open Offers. Oversee due diligence, valuation, and offer documentation as per SEBI norms. Advise on corporate restructuring, M&A, and fundraising. Act as Principal Officer overseeing regulatory reporting and audits. Mentor and guide a small team of finance and compliance professionals. Eligibility: Qualification: CA / MBA (Finance) / CFA / CS or equivalent. Experience: Minimum 2 years in Merchant Banking, Investment Banking, or Corporate Advisory. Regulatory: Must be SEBI-registered (Category I) or eligible as Principal Officer. Skills: Strong knowledge of SEBI ICDR, Takeover, Buyback & Listing Regulations, excellent analytical and client management skills. Compensation: Competitive and commensurate with experience and qualification.
