Job Description

Job Summary:

The Company Secretary (CS) plays a critical role in ensuring the NBFC’s compliance with statutory and regulatory requirements and supports the Board of Directors in governance matters. This role includes managing secretarial functions, liaising with regulatory bodies (MCA, RBI, SEBI), overseeing board meetings, and maintaining corporate governance standards in accordance with the Companies Act, RBI Master Directions for NBFCs, and other applicable laws.

Key Responsibilities:1. Statutory Compliance & Governance

  • Ensure compliance with the Companies Act, 2013, RBI guidelines for NBFCs, and other applicable laws.
  • Keep the Board informed about legal and regulatory changes affecting the company.
  • Maintain and update all statutory registers and records.

2. Board & General Meetings

  • Organize and coordinate Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
  • Prepare agendas, notices, board papers, and minutes of meetings.
  • Ensure proper filing of resolutions and other necessary forms with MCA/RoC.

3. RBI & Regulatory Compliance

  • File all periodic returns and submissions with the Reserve Bank of India (RBI) under applicable NBFC regulations.
  • Ensure timely compliance with RBI Master Directions, especially related to governance, capital adequacy, disclosures, and fair practices code.

4. Secretarial Audits & Filings

  • Coordinate secretarial audits and ensure all ROC filings (e.g., MGT-7, AOC-4, DIR-12, PAS-3, etc.) are made in a timely and accurate manner.
  • Monitor compliance under FEMA, SEBI (if applicable), and other financial laws as relevant to the NBFC.

5. Corporate Governance

  • Assist the Board in ensuring corporate governance best practices.
  • Maintain high standards of integrity, transparency, and accountability within the organization.

6. Liaison & Communication

  • Act as a liaison between the company and regulators (RBI, SEBI, MCA, Stock Exchanges – if listed).
  • Handle correspondence with stakeholders including shareholders and government authorities.

7. Policies & Record Keeping

  • Draft, implement, and update key corporate policies (e.g., Code of Conduct, Insider Trading, Whistleblower, etc.).
  • Safeguard company records, documents, and maintain a robust documentation system.

Qualifications:

  • Qualified Company Secretary (ACS / FCS) from the Institute of Company Secretaries of India (ICSI).
  • LLB or additional legal qualification is an advantage.
  • 5–10+ years of relevant experience, preferably in an NBFC, BFSI, or listed entity.

Key Skills:

  • In-depth knowledge of corporate laws and NBFC regulations.
  • Strong drafting, communication, and analytical skills.
  • High attention to detail and organization.
  • Ability to work with senior leadership and Board members.
  • Proficiency in compliance tools and MCA/RBI online portals.

Preferred Experience:

  • Prior experience in an RBI-regulated NBFC or financial institution.
  • Knowledge of RBI’s Master Directions for NBFCs (especially governance and disclosures).
  • Familiarity with Company Law, FEMA, SEBI (LODR) (if listed), and other financial regulations.

Job Type: Full-time

Pay: ₹40,000.00 - ₹50,000.00 per month
