Responsibilities: A) Track treasury workflow and exposure to ensure Treasury policies are adhered to and analysing treasury performance. 1. Quarterly presentation to management B) Managing the Banking and Borrowing requirement for the group (including subsidiaries) 1. Ensure funds are available for business as and when required. 2. Negotiating lines with banks (commercials, covenants, and documentation) 3. Optimize the cost of borrowing 4. Ensure efficiency of banking operation C) Working knowledge of trade finance products. Knowledge of ICC guidelines like UCP, URDG, ISP, UCC, URC 1. Understanding of different modes in international payments (open account, LC, collections) 2. Issuance of LC, presentation, and negotiation Internal to Wipro 3. Understanding of bank guarantee and standby letter of credit. D) Evaluate implement two new IT systems like IBS Fintech to reduce manual workload and enhance process and system efficiency. E) Work closely with business and fintech partners to implement supplier and Dealer financing solutions (supply chain financing solutions) F) Interaction with external rating agencies. Skills/Qualifications: CA/MCOM/ CMA- India/ Minimum 3-4 years experience in the treasury team.
Key Responsibilities: 1. Corporate Governance Compliance Ensure compliance with Companies Act, FEMA, and other applicable corporate laws for 90+ group entities (Indian overseas). Prior Work Experience of handling global entities would be preferred Manage filings and submissions with regulatory authorities (ROC, MCA, RBI, NCLT). Maintain statutory registers and records. 2. Board Committee Support Organize and manage Board and Committee meetings, including agenda preparation, circulation, and minutes drafting. Handle Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs). Prepare and circulate resolutions and ensure adherence to Secretarial Standards. 3. Strategic Transactions Support corporate restructuring, mergers, acquisitions, and due diligence processes. Liaise with stakeholders for incorporation, liquidation, and overseas investments. 4. CSR Governance Initiatives Lead end-to-end CSR compliance: policy formulation, budgeting, monitoring, and statutory reporting. Collaborate with CSR Committee for project implementation in healthcare, education, and community development. 5. Insurance Risk Management Administer global liability insurance programs (DO, EPLI, Cyber, CGL, Umbrella, etc.). Ensure timely renewal and compliance with risk management policies. Coordinate the insurance claims 6. Stakeholder Liaison Act as a liaison with shareholders, directors, auditors, and government authorities. Facilitate internal and external audits related to secretarial matters. Skills Competencies Strong knowledge of corporate laws, governance standards, and compliance frameworks. Excellent drafting and communication skills for minutes, resolutions, and regulatory filings. Ability to manage multiple entities and complex transactions globally. Proficiency in MS Office and secretarial software tools. Educational Qualification LLB / Company Secretary (CS) qualification preferred. 4-8 years of experience in corporate secretarial roles.
