Role Overview The Assistant Vice President (AVP), M&A will lead deal origination, negotiation, structuring, and execution for Transacta Capital’s investment platform. This role is pivotal in shaping the firm’s growth strategy across IT services, SaaS, cybersecurity, and broader technology sectors. The VP will directly manage cross-functional deal teams, interface with C-suite executives globally, and drive transactions from thesis to close. Key Responsibilities Strategic Deal Origination Lead deal sourcing efforts in India, the US, and emerging global markets. Build and maintain relationships with founders, bankers, brokers, advisors, and CXOs. Develop investment theses, market maps, and thematic research across priority sectors. Identify platform and tuck-in acquisition opportunities. Deal Leadership & Execution Lead full transaction lifecycle: initial evaluation, financial modelling oversight, diligence, negotiation, SPA structuring, and closing. Drive cross-border execution including coordination with legal, tax, compliance, and operational diligence partners. Present opportunities and recommendations to the Investment Committee. Oversee creation of high-quality materials including LOIs, term sheets, CIM assessments, and integration planning documents. Financial & Strategic Analysis Evaluate financial statements, operating KPIs, revenue quality, and synergy opportunities. Assess strategic fit for portfolio companies, including integration readiness and value creation plans. Team Leadership Mentor and oversee analysts, associates, and AVPs. Establish strong execution frameworks and best practices for the M&A team. Contribute to the firm’s internal knowledge base, playbooks, and evaluation models. Client, Founder & Investor Engagement Lead management discussions with target companies. Support negotiations on valuation, structure, reps and warranties, escrow, and key commercial terms. Develop long-term external relationships to expand the firm’s sourcing network. Qualifications 8–12+ years of relevant experience in M&A, investment banking, private equity, or strategic corporate M&A. Demonstrated success leading multiple transactions to closure. Deep exposure to IT services, SaaS, cloud, or digital engineering sectors preferred. MBA/CA/CFA or equivalent advanced degree. Key Attributes Strong leadership presence and ability to engage at Board and CXO levels. Exceptional negotiation and communication skills. High accountability, deal instinct, and ability to operate autonomously. Strong understanding of cross-border transaction frameworks (US–India preferable).

This is a senior leadership role with direct ownership of cross-border transactions in IT Services, SaaS, cybersecurity, and digital engineering. Key Responsibilities Deal Origination & Evaluation Assist in sourcing buy-side and strategic acquisition opportunities globally, with a focus on India and the US. Evaluate inbound opportunities, teasers, CIMs, technology profiles, and management presentations. Conduct detailed industry and competitor research, including mapping target universes in IT services and tech. Financial Analysis & Modelling Build and review financial models, valuation analyses, and operating scenarios. Prepare investment memos, IC notes, and management dashboards. Support commercial, financial, and operational due diligence processes. Deal Execution Manage end-to-end workstreams including data room management, diligence Q&A, and coordination with legal, tax, and technical advisors. Prepare marketing materials, pitch decks, and target outreach documents. Track project timelines and support negotiation-led analyses including SPA terms, valuation bridges, and closing adjustments. Client & Stakeholder Management Engage with founders, CFOs, and leadership teams of target companies. Prepare and present deliverables for internal IC as well as external stakeholders. Maintain CRM and pipeline tracking for effective execution visibility. Qualifications 5–8 years of experience in M&A, investment banking, transaction advisory, consulting, or corporate development. Strong financial modelling, valuation, and analytical skills. Experience in technology, IT services, or software sectors preferred. MBA/CA/CFA or equivalent qualification.
