JOB DESCRIPTION Company Secretary 1. Secretarial Functions: Ensure compliance with the Companies Act, 2013, SEBI (LODR) Regulations, 2015, and other applicable laws. File disclosures and reports with stock exchanges, SEBI, and other regulatory authorities. Convene and conduct Board, Committee, and General Meetings, including drafting agendas, notices, resolutions, and minutes. Maintain statutory registers, records, and filings with the Registrar of Companies (RoC). Ensure compliance with Insider Trading Regulations, including maintaining trading windows and disclosures. 2. Group Company Oversight: Ensure compliance with applicable laws for group companies, including Insurance Regulatory and Development Authority of India (IRDAI) guidelines for insurance broker entities. 3. Drafting & Reviewing Responses: Draft replies and manage correspondence with tax authorities for GST and Income Tax matters. Assist in filing appeals and handling tax assessments. Prepare responses and submissions for matters before the National Company Law Tribunal (NCLT). 4. Regulatory Approvals and Liaisoning: Liaise with regulatory bodies like SEBI, MCA, IRDAI, RBI, GST, and Income Tax departments. 5. Advisory to Board & Management: Provide guidance on governance best practices and regulatory developments. Advise on corporate restructuring, tax optimization strategies, and risk management. 6. Audit Support: Assist in internal, statutory, and regulatory audits. Coordinate with external consultants and auditors for secretarial and compliance matters.
