The Company Secretary will be responsible for ensuring that the company complies with all statutory and regulatory requirements under the Companies Act, 2013 , and related laws. The role includes managing corporate governance, board administration, ROC filings, and supporting the management in legal, secretarial, and strategic matters. The CS will also work closely with finance, HR, and operations teams to align compliance with the manufacturing and export business environment. Key Responsibilities: 1. Statutory & Regulatory Compliance • Ensure timely compliance with the Companies Act, 2013 , SEBI , RBI , Factories Act , and other relevant statutes. • Prepare and file annual returns, balance sheets, board resolutions, and other documents with the Registrar of Companies (ROC) . • Maintain statutory registers, minutes books, and company records. • Liaise with government authorities such as ROC, MCA, and other regulators. 2. Board & Governance Support • Organize Board Meetings , AGMs , and Extraordinary General Meetings (EGMs) . • Draft notices, agendas, resolutions, and minutes of board and committee meetings. • Advise the Board on corporate governance best practices and compliance updates. 3. Legal & Contract Management • Draft, review, and vet commercial agreements, NDAs, supplier contracts, and MoUs. • Ensure compliance in contracts related to manufacturing, procurement, and exports of hydraulic trailers. • Coordinate with external legal advisors on litigation, arbitration, and intellectual property matters. 4. Finance & Secretarial Coordination • Work with the Finance Department for audits, annual reports, and tax-related documentation . • Assist in managing company shareholding structure, capital raising, and investor relations (if applicable). • Support internal audits and ensure compliance with statutory filings and corporate disclosures. 5. Strategic & Administrative Support • Support the management in policy drafting , ISO documentation , and internal control processes. • Ensure compliance for subsidiaries, joint ventures, or group entities , if any. • Maintain confidentiality and uphold ethical standards across corporate functions. Qualifications & Experience: • Mandatory: Member of the Institute of Company Secretaries of India (ICSI) . • Preferred: Bachelors or Master’s degree in Law, Commerce, or Finance . • Experience: 3–8 years of post-qualification experience, preferably in a manufacturing or engineering company . • Strong understanding of Companies Act, FEMA, Factories Act, Labour Laws , and related compliances. • Prior exposure to industrial licensing, import-export documentation , or environmental compliance is an advantage. Key Skills: • Strong knowledge of corporate governance and statutory compliance • Excellent drafting, communication, and presentation skills • Analytical, detail-oriented, and proactive approach • Ability to work independently and coordinate with multi-functional teams • Familiar with digital filings and portals like MCA V3, SEBI, GSTN, and DGFT Compensation: Competitive and commensurate with experience.
