Role Overview: The Company Secretary will be responsible for ensuring the company’s compliance with statutory and regulatory requirements, managing corporate governance, and supporting the Board and senior management in all secretarial matters. This is a senior-level role requiring excellent knowledge of Indian corporate laws, SEBI regulations, governance frameworks, and board advisory. Key Responsibilities:Statutory Compliance & Governance Ensure compliance with Companies Act, 2013, FEMA, SEBI, RBI and other applicable statutory regulations. Manage all company filings, returns, and documentation through MCA portal. Maintain statutory registers, records, and minutes of Board, Committee, and General Meetings. Drafting of Board resolutions, notices, agendas, minutes, and compliance reports. Ensure adherence to Secretarial Standards issued by ICSI. Board & Shareholder Management Organize and coordinate Board Meetings, AGM, EGM, and Committee Meetings. Prepare Board briefing papers, presentations, and compliance updates. Maintain communication between Board members, senior management, and stakeholders. Corporate Governance Develop and implement best practices in corporate governance. Ensure risk management, regulatory monitoring, and internal control compliance. Advise the Board on governance issues, transparency standards, and ethical practices. Legal & Regulatory Support Liaison with regulators: MCA, ROC, SEBI, RBI, NSDL, CDSL, Stock Exchange. Handle corporate legal documentation—MOA, AOA amendments, share transfers, ESOP, mergers, acquisitions, CSR compliance etc. Review and vet contracts, agreements, and legal notices. Support in due diligence, audits, and investor compliance requirements. Secretarial Audits & Record Keeping Coordinate with internal and external auditors for Secretarial Audit. Prepare Compliance Certificate, Annual Return, Director’s Report inputs. Ensure accurate and confidential maintenance of corporate records. Investor Relations (if applicable) Handle shareholder queries, complaints, and communications. Coordinate with RTA for share transfers, dividends, demat processes, etc. Required Qualifications & Skills Qualified Company Secretary (CS) from ICSI. 6–12+ years of experience in secretarial, compliance and governance roles. Strong knowledge of Companies Act, SEBI regulations, FEMA, Listing Obligations (for listed companies) . Excellent drafting, communication, and presentation skills. Ability to interact effectively with Board members, senior leadership, auditors, and regulators. High integrity, confidentiality, and professionalism.
